MISCELLANEOUS PERMIT SET AGREEMENT

This Miscellaneous Permit Set Agreement (the Agreement) is entered into as of between the parties identified below.

WHEREAS, Applicant desires to obtain a coordinated set of permits, approvals and related documents (the Permit Set) for the project described in this Agreement; and

WHEREAS, Issuer has the authority to process, coordinate or issue such permits and will provide administrative and technical review services as set forth herein; and

WHEREAS, the parties agree to the terms and conditions contained in this Agreement to define scope, fees, timing and responsibilities.

Scope of Work

Issuer shall undertake administrative coordination, application review, documentation compilation and submission support necessary to obtain the Permit Set described below. The detailed tasks include plan intake, review for code compliance, coordination with third-party reviewers, and issuance tracking.

Payment Terms

Applicant shall pay Issuer the fees for permit coordination and issuance as set forth below. Fees reflect administrative review, document processing, and any specified third-party review fees for which Applicant is responsible.

Late payments shall incur interest at the rate of calculated monthly on the unpaid balance until paid in full. Applicant is responsible for all collection costs and reasonable attorney fees incurred to collect overdue amounts.

Term and Termination

This Agreement shall commence on the Start Date: and shall continue until the End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Termination shall not relieve Applicant of liability for fees and reimbursable expenses incurred through the effective date of termination.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed by the other party in connection with this Agreement and shall not use such information except to perform obligations hereunder. Confidential information does not include information that is or becomes generally available to the public other than by a breach of this Agreement, or information lawfully received from a third party without restriction. The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years.

Indemnification and Insurance

Applicant shall defend, indemnify and hold harmless Issuer and its officers, agents and employees from and against any claims, liabilities, losses or expenses arising out of Applicant's failure to comply with applicable law, negligent acts, or omissions in connection with the Permit Set, except to the extent caused by Issuer's gross negligence or willful misconduct. Applicant shall maintain general liability insurance and any professional liability insurance necessary for the performance of the services contemplated by this Agreement and shall provide certificates of insurance upon request.

Representations and Warranties

Each party represents that it has full authority to enter into this Agreement, that its performance will comply with all applicable laws and regulations, and that no approval of any other party is required to effectuate the terms of this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

Entire Agreement

This Agreement, together with any exhibits and permit application materials expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior oral or written agreements, representations and understandings. No amendment or modification shall be effective unless in writing and executed by authorized representatives of both parties.

Miscellaneous Provisions

Any notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above. If any provision of this Agreement is held invalid or unenforceable, the remainder shall remain in full force and effect.
