WHEREAS, Recipient desires to evaluate the POC and accepts the experimental nature, limited warranties, and associated risks described in this Agreement; and

WHEREAS, the parties wish to set forth the scope, payment, confidentiality, waiver, and legal terms governing the POC engagement.

SCOPE OF WORK

Provider shall perform the POC in accordance with the description above and any mutually agreed specifications or schedules. Recipient acknowledges that the POC may incorporate experimental features and limited support.

All payments are non-refundable except as expressly stated. Recipient shall be responsible for any taxes, duties, or withholdings arising from payments unless otherwise agreed in writing.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period specified above. Termination shall not relieve Recipient of payment obligations incurred prior to termination.

Each party shall maintain in confidence all non-public information disclosed in connection with the POC that is identified as confidential or that reasonably should be understood to be confidential ("Confidential Information"). Confidential Information shall not include information that is or becomes public through no breach by the receiving party, is rightfully received from a third party without restriction, or is independently developed.

Recipient acknowledges obligation to protect Provider's Confidential Information and will not disclose or use such information except to evaluate the POC or as permitted in writing.

WAIVER, RELEASE, AND ASSUMPTION OF RISK

Recipient expressly acknowledges that the POC may be experimental, may not be commercially ready, and may involve risks including but not limited to data loss, system interruption, or physical risk if hardware is involved. By signing, Recipient waives claims against Provider for damages arising from normal POC activities except for gross negligence or willful misconduct.

Recipient hereby releases Provider from all liability for incidental or consequential damages arising from Recipient's use of the POC, except as expressly limited by law.

INTELLECTUAL PROPERTY AND FEEDBACK

Unless otherwise agreed in writing, Provider retains all right, title and interest in pre-existing and developed intellectual property used in or produced by the POC. Recipient grants Provider a non-exclusive, royalty-free license to use feedback, suggestions, and results arising from the POC to improve Provider products and services.

Recipient agrees that any feedback or suggestions provided to Provider may be used by Provider without obligation to Recipient.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify and hold harmless the other from third-party claims arising from the indemnifying party's negligence or willful misconduct. EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT EXCEED THE TOTAL AMOUNTS PAID BY RECIPIENT TO PROVIDER UNDER THIS AGREEMENT.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that state for disputes not resolved by arbitration.

No modification of this Agreement is effective unless in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

What the Miscellaneous POC Waiver Document Is

The Miscellaneous POC Waiver Document is a written instrument used to record a party's voluntary waiver of the requirement to submit a Proof of Claim (POC) or related supporting documentation for a specific obligation, matter, or transaction. It specifies the parties, the precise scope of the waived claim, effective date, any consideration, and limitations or exceptions. The document clarifies which rights are being waived and for what period, helping reduce administrative burden where original proof is redundant or unavailable while preserving a clear record of consent and attribution.

Why a Clear POC Waiver Matters

A properly drafted Miscellaneous POC Waiver Document reduces processing delays, documents mutual agreement about missing or redundant proof, and prevents later disputes by creating an auditable record of intent, scope, and consent.

Why a Clear POC Waiver Matters

Who Typically Completes This Waiver

Organizations and individuals use this waiver when a claim's supporting documentation is impractical to obtain, redundant, or agreed to be unnecessary.

  • Claims administrators and accounts payable teams who need to clear low-value or duplicate claims quickly.
  • Vendors, contractors, or creditors who cannot produce original supporting documents but accept a formal waiver.
  • In-house or external counsel documenting client consent to omit supporting proof for a specific matter.

The waiver helps streamline workflows by replacing ad hoc approvals and clarifying responsibilities for record retention and future audits.

Primary Signer Types

Claims Administrator

A claims administrator or accounts-payable manager typically signs to confirm organizational acceptance of the waiver and to record administrative authority; include title, department, and contact details to tie the signature to an accountable person.

Vendor / Creditor

The individual or entity waiving the requirement (vendor, contractor, or creditor) must sign with their legal name and capacity; provide a corporate title or authorized agent statement where an organization is involved.

Frequent Preparation Errors to Avoid

  • Failing to precisely identify the claim or invoice number, which can result in disputes about what was actually waived and to whom it applies.
  • Using vague language about what is waived or for how long, leaving courts or auditors to interpret intent and scope after the fact.
  • Omitting signer capacity or failing to show an organizational title, which undermines authority and may render the waiver unenforceable.
  • Relying on a plain email without a documented audit trail or date-stamped record, making it difficult to prove consent and timing.

Step-by-Step: Completing the Waiver

Follow a clear sequence to ensure the waiver is complete, attributed, and retained for audits.

  • 01
Identify Parties: Enter full legal names and capacities.
  • 02

What a Professional Waiver Should Contain

A well-structured waiver balances clarity with legal sufficiency; include the six core elements below to reduce downstream risk and simplify audits.

Scope

Clearly list claim or invoice identifiers, dates, and the precise obligations or documents being waived so there is no uncertainty about covered items.

Parties

Include full legal names, contact details, and signer capacity (e.g., "Authorized Agent, Accounts Payable") to show authority and attribution.

Effective Date

Specify the exact start date of the waiver using MM/DD/YYYY format and note whether retroactive application is intended and why.

Consideration

Record any payment, credit, or other exchange supporting the waiver; if none, state that the waiver is given without consideration to avoid ambiguity.

Limitations

Describe exceptions, time limits, territorial constraints, and any conditions that preserve other legal rights or future claims.

Signatures

Provide signature blocks with name, title, date, and witness or notary fields when required by jurisdiction or policy.

Practical Tips for Reliable Waivers

Adopt consistent drafting and storage practices to minimize disputes and support audits.

Use unambiguous identifiers
Reference invoice numbers, contract clauses, or claim IDs in full to avoid later disagreements about what was waived; cross-reference attachments when useful.
Record signer authority
Include each signer's role and a short authorization line to show why they are empowered to waive requirements on behalf of an organization.
Preserve an audit trail
Retain the signed file, timestamp, IP address, and signer authentication logs to support attribution and challenge responses during audits or litigation.
Consider limited waivers
Draft waivers narrowly (time-limited or item-specific) to avoid unintended broad releases of rights or future claims.

Timing and Processing Expectations

Understand common timeframes for submitting, processing, and retaining waivers to align internal controls with external deadlines.

Submission Timing:

Provide waiver before claim adjudication deadlines where required.

Processing Window:

Allow 3–10 business days for review and internal approval.

Notary Timeframes:

Schedule notarization or RON ahead of filing deadlines.

Record Distribution:

Send final copies to all parties immediately after signing.

Retention Start:

Retention begins on the effective date of the waiver.
