WHEREAS

WHEREAS, Client engages Service Provider to perform certain professional services and deliverables as set forth in this Agreement; and

PAYMENT TERMS

Client shall pay Service Provider the fees described below in consideration for the services and deliverables. All fees are exclusive of taxes unless otherwise stated.

Invoices are due as specified in the Payment Schedule. If Client fails to make any payment when due, Service Provider may suspend performance and shall be entitled to interest and recovery costs, including reasonable attorneys' fees, to the extent permitted by law.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing the other party the Notice Period specified above. Termination for cause is permitted where a party materially breaches this Agreement and fails to cure the breach within thirty (30) days after receipt of written notice specifying the breach, or immediately for breaches that are incapable of cure or that expose the non-breaching party to imminent harm.

CONFIDENTIALITY

"Confidential Information" means all non-public information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information excludes information that is: (a) publicly known through no fault of the receiving party; (b) rightfully received from a third party without restriction; or (c) independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall: (i) protect Confidential Information with the same degree of care it uses to protect its own confidential information but not less than reasonable care; (ii) use Confidential Information solely to perform under this Agreement; and (iii) not disclose Confidential Information to third parties except to employees, contractors, or advisors who have a need to know and who are bound to confidentiality obligations at least as protective as those in this Agreement. Upon termination or at the disclosing party's request, the receiving party shall promptly return or destroy Confidential Information and certify destruction if requested.

Nothing in this section limits either party's right to seek injunctive relief for actual or threatened breaches of confidentiality or other equitable relief in addition to any remedies at law.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the address set forth below or to such other address as either party designates by notice to the other.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Governing State: without regard to its choice of law principles. The parties submit to the exclusive jurisdiction of the courts located in that state for any dispute arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, including any schedules and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, representations, and communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets provided the assignee assumes the obligations herein.
