MISCELLANEOUS PROJECT AGREEMENT

This Miscellaneous Project Agreement (the Agreement) is entered into on (Effective Date) by and between Client Name: and Contractor Name: .

RECITALS

WHEREAS, Client desires to retain Contractor to perform certain services described herein and Contractor is willing to perform such services under the terms and conditions set forth in this Agreement.

WHEREAS, the parties desire to set forth the scope, compensation, confidentiality obligations and other terms governing the engagement of Contractor to perform the Project described below.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

Invoices are due within days of receipt. Overdue amounts shall incur a late fee of % per month (or the maximum allowed by law, if less), compounded monthly, plus reasonable collection costs.

3. TERM; TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the intended termination date. Either party may terminate immediately for cause if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

4. CONFIDENTIALITY

For purposes of this Agreement, Confidential Information means all non-public information disclosed by either party that is designated confidential or which a reasonable person would understand to be confidential. Contractor shall not disclose or use Client Confidential Information except to perform obligations under this Agreement. Client shall not disclose Contractor's Confidential Information except for evaluation of performance under this Agreement.

The obligations in this section do not apply to information that: (a) is or becomes publicly known through no breach by the recipient; (b) is rightfully received from a third party without restriction; (c) was in the recipient's possession prior to disclosure; or (d) is independently developed by the recipient without use of the discloser's Confidential Information. The confidentiality obligations survive termination of this Agreement for years.

5. INTELLECTUAL PROPERTY; DELIVERABLES

Unless otherwise agreed in writing, Contractor assigns to Client all right, title and interest in and to the deliverables created specifically for Client under this Agreement upon payment in full for such deliverables. Contractor retains ownership of its pre-existing materials, tools and methodologies, and grants Client a non-exclusive, non-transferable license to use such materials to the extent embodied in the deliverables.

6. INDEPENDENT CONTRACTOR; TAXES

Contractor is an independent contractor and not an employee, agent, partner, or joint venturer of Client. Contractor is solely responsible for payment of all federal, state and local taxes and contributions arising from compensation paid under this Agreement.

7. LIMITATION OF LIABILITY; INDEMNIFICATION

Except for liability arising from willful misconduct or gross negligence, each party's aggregate liability under this Agreement shall not exceed the total compensation paid or payable to Contractor under this Agreement. Contractor shall indemnify and hold harmless Client from third-party claims arising from Contractor's breach of representations or willful misconduct.

8. GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties shall first attempt to resolve disputes by good faith negotiation; if unresolved, disputes shall be resolved in the state or federal courts located in the chosen governing state.

9. ENTIRE AGREEMENT; AMENDMENT

This Agreement (including any exhibits or attachments executed by the parties) constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. Any amendment or modification must be in writing signed by authorized representatives of both parties.

If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.
