Recitals

WHEREAS, Client desires to engage Contractor to perform the services and deliver the deliverables described in this Proposal under the terms and conditions set forth below; and

WHEREAS, Contractor represents that it has the qualifications, experience, and resources necessary to provide the services and deliverables set forth herein; and

WHEREAS, the parties intend for this Proposal to constitute a legally binding agreement upon execution by authorized representatives of both parties.

Scope of Work

Contractor shall perform the services and produce the deliverables described below. Contractor shall perform all work in a professional and workmanlike manner consistent with industry standards.

Payment Terms

Client agrees to pay Contractor the following amounts and in accordance with the schedule set forth below. All amounts are payable in lawful currency, unless otherwise agreed in writing.

Invoices are due and payable within days of invoice receipt. Late payments shall bear interest at % per month (or the maximum rate permitted by law), plus reasonable collection costs.

Term and Termination

This Proposal commences on and continues until , unless earlier terminated as provided herein.

Either party may terminate this Proposal for convenience upon days' prior written notice. For material breach, the non-breaching party may terminate if the breaching party fails to cure the breach within days after written notice specifying the breach.

Upon termination or expiration, Client shall pay Contractor for all services performed and reasonable expenses incurred through the effective date of termination. Sections that by their nature survive termination shall survive.

Confidentiality

Each party shall keep confidential all non-public information disclosed by the other party that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that is: (a) known to the receiving party prior to disclosure without obligation of confidentiality; (b) becomes publicly available through no fault of the receiving party; or (c) independently developed without use of the disclosing party's Confidential Information.

The receiving party shall use Confidential Information solely for the purposes of performing this Proposal and shall not disclose Confidential Information to any third party except to its employees, contractors, and advisors who have a need to know and are bound by confidentiality obligations no less protective than those herein. Confidentiality obligations shall continue for years following disclosure, or longer to the extent required by applicable law for trade secrets.

Intellectual Property

Unless otherwise agreed in writing, Contractor grants to Client a non-exclusive, perpetual license to use the deliverables solely for Client's internal business purposes upon full payment. Contractor retains ownership of pre-existing materials and general skills, know-how, and methodologies used in performing the services.

Each party represents that it has the authority to enter this Proposal. Contractor further represents that the services will be performed in a professional manner consistent with applicable industry standards.

Contractor agrees to indemnify and hold harmless Client from and against third-party claims arising from Contractor's gross negligence, willful misconduct, or material breach of this Proposal, subject to the limitations below.

EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY TO THE OTHER ARISING OUT OF OR RELATING TO THIS PROPOSAL EXCEED , OR THE AMOUNT ACTUALLY PAID BY CLIENT TO CONTRACTOR UNDER THIS PROPOSAL, WHICHEVER IS GREATER.

Governing Law

This Proposal shall be governed by and construed in accordance with the laws of without regard to conflict of law principles. Venue for any dispute shall be the state or federal courts located in that jurisdiction.

Entire Agreement; Amendments

This Proposal, including any attachments, statements of work, and incorporated exhibits, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior negotiations, proposals, and representations. Any amendment or waiver must be in writing and signed by authorized representatives of both parties.
