Recitals

WHEREAS, Client and Service Provider desire to set forth the terms and conditions under which Service Provider will perform services related to administration, distribution, or processing of matters referenced by the QRO Reference Number and related retirement plan;

WHEREAS, the parties intend that this document shall govern the allocation of responsibilities, payment, confidentiality, and dispute resolution concerning the tasks described herein; and

WHEREAS, the parties agree that prompt performance and accurate records are material to each party's rights under applicable plan documents and legal obligations and that this Agreement supplements, but does not modify, any pension or benefit plan terms except as expressly set forth.

Scope of Work

Services shall include, without limitation, record review, calculation of benefits or allocations, preparation of documents required by plan administrators, correspondence with plan representatives, and delivery of final reports necessary to implement the QRO instructions. Any material change in scope requires a written amendment signed by both parties.

Payment Terms

Total Fee:

Invoicing shall occur in accordance with the Payment Schedule. Invoices are due and payable within days of receipt unless otherwise agreed in writing.

Late Payment Fee: Interest at the rate of per month (or the maximum permitted by law, if lower) on any overdue amount, plus reasonable collection costs.

Taxes: Each party is responsible for its own taxes arising from performance of this Agreement unless otherwise required by law. Withholding obligations will be addressed in accordance with applicable law.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated pursuant to the terms below.

Either party may terminate this Agreement for convenience upon written notice delivered at least prior to the effective termination date. Either party may terminate for material breach if the breach is not cured within thirty (30) days after written notice.

Upon termination, Service Provider shall deliver all completed work, final invoices, and reasonably requested transfer documentation. Client shall pay for services rendered and reimbursable expenses incurred through the effective date of termination.

Confidentiality

Each party (the Receiving Party) shall maintain as confidential all information disclosed by the other party (the Disclosing Party) that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information includes plan data, participant data, calculations, and correspondence.

The Receiving Party shall not disclose Confidential Information to third parties except to its employees, agents, or subcontractors with a need to know and subject to confidentiality obligations at least as protective as those in this Agreement. Confidentiality obligations survive termination for a period of years, except for trade secrets, which shall remain protected for as long as permitted by law.

Notwithstanding the foregoing, disclosures required by law, regulation, or competent judicial process are permitted so long as the Receiving Party provides prompt written notice to the Disclosing Party and cooperates with reasonable efforts to limit the disclosure.

Representations and Warranties; Indemnity

Each party represents that it has the authority to enter this Agreement and perform its obligations. Service Provider represents that services will be performed in a professional and workmanlike manner consistent with industry standards.

Each party agrees to indemnify, defend, and hold harmless the other party from and against claims, damages, liabilities, and expenses arising from that party's breach of this Agreement, negligence, or willful misconduct, subject to any limitations on liability set forth in writing and mutually agreed.

Notices

All notices under this Agreement shall be in writing and delivered to the addresses set forth below (or to such other address as a party designates by written notice). Notices are effective upon personal delivery, one (1) business day after deposit with an overnight courier, or three (3) business days after deposit in the U.S. mail, first-class, postage prepaid.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles. The parties agree to attempt good faith negotiations to resolve disputes. If unresolved, disputes shall be resolved by litigation in the state or federal courts located in the county of the governing state, subject to any mandatory forum or jurisdictional rules applicable to plan administration.

Entire Agreement; Amendments

This Agreement, together with any attachments and statements of work executed by the parties, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. No amendment or waiver shall be binding unless made in writing and signed by authorized representatives of both parties.

Severability; Assignment

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or successor in connection with a merger or sale of substantially all its assets provided that the assignee assumes all obligations hereunder.
