MISCELLANEOUS RACK FORM

Parties

Recitals

WHEREAS, Client Name: desires to obtain certain services described herein; and

WHEREAS, Service Provider Name: represents that it has the expertise, personnel and resources to perform such services on the terms set forth in this Miscellaneous RACK Form (the "Agreement"); and

WHEREAS, the parties desire to set forth the scope, payment, confidentiality and other terms governing their relationship effective as of Effective Date:

Scope of Work

Service Provider shall perform the services and deliverables described below in a professional and workmanlike manner in accordance with accepted industry standards.

Payment Terms

Compensation: Client shall pay Provider the fees set forth below in consideration for the performance of the Scope of Work.

Late Payment: If any undisputed amount invoiced under this Agreement is not paid within days of the invoice due date, Client shall pay interest on the overdue amount at the lesser of 1.5% per month or the maximum rate permitted by law, plus all reasonable collection costs and attorneys' fees.

Term and Termination

Term: This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Termination for Convenience: Either party may terminate this Agreement for any reason upon providing written notice to the other party at least days prior to the effective date of termination. Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach.

Confidentiality

Each party (the "Recipient") shall hold in confidence and not disclose to third parties any Confidential Information of the other party (the "Discloser"). "Confidential Information" means non-public information, whether oral, written or electronic, disclosed by Discloser to Recipient that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential obligations shall survive termination for a period of years, except for trade secrets which shall be protected to the fullest extent permitted by law.

Exceptions: Confidential Information does not include information that (a) is or becomes generally available to the public other than through a disclosure by Recipient in breach of this Agreement; (b) was rightfully known to Recipient without restriction prior to receipt from Discloser; or (c) is independently developed without use of Discloser's Confidential Information.

Indemnity and Liability

Provider shall defend, indemnify and hold harmless Client and its officers, directors and employees from and against any third-party claims, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of Provider's negligence, willful misconduct or breach of this Agreement. Except for breach of confidentiality or indemnity obligations, neither party's aggregate liability shall exceed the total fees paid to Provider under this Agreement in the 12 months preceding the claim; neither party shall be liable for consequential or punitive damages.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Jurisdiction: without regard to conflict of laws principles. The parties shall attempt in good faith to resolve disputes through informal negotiations prior to seeking any judicial remedy.

Entire Agreement; Miscellaneous

This Agreement (including all schedules and attachments) constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment shall be effective unless in writing and signed by both parties. If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect.
