Parties and Recitals

This General Business Agreement and RAMS (Risk Assessment and Method Statement) Template (the Agreement) is entered into as of by and between Client Name: and Contractor Name: .

WHEREAS, the Client requires services that will involve work at the project location described below and the Contractor represents that it is qualified and will provide the required RAMS and perform the services in accordance with applicable health and safety standards; and

WHEREAS, the parties desire to set forth the terms under which the Contractor will provide the services, deliver RAMS documentation, and accept payment for such services.

Project Identification

Scope of Work and RAMS

The Contractor shall perform the work described below and shall provide a Risk Assessment and Method Statement that identifies hazards, controls, and safe systems of work appropriate to the tasks. The Contractor warrants that the RAMS will be prepared by a competent person and will be kept current for the duration of the work.

Insurance, Compliance & Safety

The Contractor shall maintain insurance coverage appropriate to the work, including commercial general liability and employer's liability insurance, and shall produce certificates of insurance upon reasonable request. The Contractor shall comply with all applicable laws, regulations, site rules, and any specific permit requirements necessary for safe execution of the work.

Payment Terms

In consideration for the Contractor's performance of the Scope of Work, the Client shall pay the Contractor the fees and according to the schedule set forth below. All fees are payable in lawful currency and inclusive/exclusive of applicable taxes as indicated by the parties.

Term and Termination

This Agreement shall commence on the Start Date and continue until the End Date unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for the notice period set forth above. Termination does not relieve the Client of obligations to pay for work properly performed up to the effective date of termination.

Confidentiality

Each party shall keep confidential and shall not disclose to any third party any Confidential Information of the other party, except as required by law or to perform the obligations under this Agreement. Confidential Information includes RAMS documents, commercial terms, site-specific safety plans, and any information designated in writing as confidential.

The receiving party shall use Confidential Information only for purposes of performing this Agreement and shall take reasonable measures to prevent unauthorized disclosure, at least as protective as those it uses to protect its own confidential information of a similar nature.

Indemnity and Liability

The Contractor agrees to indemnify and hold harmless the Client from and against claims, losses, damages and liabilities arising out of the Contractor's negligent acts, omissions or breach of this Agreement, except to the extent caused by the Client's negligence. The parties' aggregate liability for direct damages under this Agreement shall be limited to the total fees paid by the Client to the Contractor under this Agreement during the preceding twelve (12) months.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles.

Entire Agreement

This Agreement, including the attached and referenced RAMS documentation, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

By signing below, each party acknowledges that it has read, understood, and agrees to be bound by the terms of this Agreement and that the RAMS provided by the Contractor form an integral part of the obligations under this Agreement.
