Term and Termination

The term of this Agreement shall commence on Start Date: and continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Either party may terminate for material breach if the breaching party fails to cure the breach within days after receipt of written notice specifying the breach.

Confidentiality

Each party (the "Receiving Party") shall hold in strict confidence all information identified as confidential or which reasonably should be understood to be confidential given its nature ("Confidential Information") disclosed by the other party (the "Disclosing Party"). Confidential Information shall not include information that (a) is or becomes publicly known through no breach by the Receiving Party; (b) is rightfully received from a third party without restriction; (c) is independently developed without use of the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law, provided the Receiving Party gives prompt notice to the Disclosing Party to allow the Disclosing Party to seek protective relief.

The Receiving Party agrees to use Confidential Information solely to perform its obligations under this Agreement and to restrict disclosure to those employees, contractors and advisors who have a need to know and are bound by confidentiality no less protective than this Agreement. The foregoing obligations shall continue for following termination or expiration of this Agreement.

Representations; Indemnification

Each party represents that it has full power and authority to enter into and perform this Agreement and that the execution and performance will not violate any other agreement. Contractor shall perform services in a professional and workmanlike manner in accordance with industry standards. Each party shall indemnify and hold the other harmless from and against any third-party claims arising from its negligent acts or willful misconduct in connection with this Agreement.

If any provision of this Agreement is found to be invalid or unenforceable, the remainder shall continue in full force and effect. No waiver of any provision shall be effective unless in writing and signed by the waiving party. This Agreement is binding upon and shall inure to the benefit of the parties and their respective successors and permitted assigns; neither party may assign its rights or delegate its obligations without the prior written consent of the other party, except that Contractor may assign to an affiliate.
