What a Miscellaneous Redemption Resolution Is

Best practices to minimize risk and speed execution

Follow these best practices to ensure accurate drafting, timely approvals, and defensible recordkeeping for redemption transactions across corporate and tax processes.

Confirm Corporate Authority and Charter Limitations
Verify that the board or delegated committee has the authority under the articles and bylaws to authorize redemption; obtain shareholder consents when the charter or state law requires them and document the legal basis in the resolution.
Coordinate With Transfer Agent and Finance
Notify the transfer agent and finance department before execution to confirm certificate surrender procedures, payment routing, and ledger updates; include exact identifiers and account details to avoid delays or misapplied funds.
Address Tax Withholding and Reporting Obligations
Specify whether withholding applies, who bears tax obligations, and how proceeds are reported; consult tax counsel on 1099, capital gains, and basis adjustments to prevent IRS penalties or incorrect reporting.
Use Clear, Unambiguous Pricing Language
If price is formula-based, provide examples and rounding rules; define currency, effective valuation date, and how fractional shares or partial redemptions are handled to prevent future disputes.
