MISCELLANEOUS RELAY REPLACEMENT TEMPLATE

This Miscellaneous Relay Replacement Agreement (the Agreement) is entered into as of by and between (Service Provider) and .

WHEREAS

WHEREAS, Service Provider is engaged in the business of supplying, installing and testing electrical relay equipment and associated components; and

WHEREAS, Client operates or is owner of the facility located at and requires replacement of one or more protective relays and related services at that facility; and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will perform relay replacement work for Client.

SCOPE OF WORK

Service Provider shall perform replacement, installation, wiring, configuration, functional testing and commissioning of replaced relays in accordance with accepted industry practices. Final acceptance shall occur after successful on-site testing and written confirmation by Client in accordance with the Acceptance and Testing section below.

PAYMENT TERMS

Invoices are due in accordance with the payment schedule set forth above. Any undisputed amounts not paid within days after invoice date shall accrue interest at the rate of per month (or the maximum permitted by law, if less). Client shall pay reasonable costs of collection, including attorneys' fees, for overdue payments.

TERM AND TERMINATION

This Agreement shall commence on and shall continue in effect until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party acknowledges that in connection with this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public technical, business, financial or operational information disclosed in any form. Each receiving party shall: (a) hold Confidential Information in strict confidence; (b) not disclose it to any third party except as permitted hereunder; and (c) use it solely to perform obligations under this Agreement. Confidential Information does not include information that is or becomes publicly available without breach of this Agreement, is independently developed by the receiving party, or is rightfully obtained from a third party not under an obligation of confidentiality.

WARRANTY, INSURANCE AND LIABILITY

Service Provider warrants that replaced parts shall be free from defects in material and workmanship for a period of from the date of acceptance. Labor warranty shall be for . Remedies for breach of warranty are limited to repair or replacement of defective parts and re-performance of defective services. EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH HEREIN, SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Service Provider shall maintain commercial general liability, professional liability (if applicable), workers' compensation and automobile liability insurance with limits customary for the industry. Client may request evidence of insurance by certificate prior to commencement of work.

Neither party shall be liable for incidental, special or consequential damages arising out of or related to this Agreement, except for liability arising from gross negligence or willful misconduct. The aggregate liability of either party for direct damages shall not exceed the total fees paid under this Agreement for the specific work giving rise to the claim.

SITE ACCESS, SAFETY AND PERMITS

Client shall provide safe access to the work site and shall obtain any site-specific permits or authorizations required for Service Provider to perform the work, unless otherwise agreed in writing. Service Provider shall comply with Client site safety rules and applicable laws and maintain a safe work environment while on site.

CHANGE ORDERS

No additional work shall be performed without a written change order signed by both parties setting forth scope, schedule and any adjustment to the contract price.

ACCEPTANCE AND TESTING

Acceptance shall occur when Service Provider completes testing, demonstrates relay operations to Client's representative and Client provides written acceptance, which shall not be unreasonably withheld.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its principles of conflicts of law.

ENTIRE AGREEMENT

This Agreement, together with any exhibits and executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and understandings, whether written or oral. No amendment shall be effective unless in a writing signed by both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or successor in interest.
