MISCELLANEOUS RELINQUISHED PACKAGE

WHEREAS Recitals

WHEREAS, Relinquisher is the legal possessor or custodian of certain miscellaneous tangible and intangible items, documents and materials more particularly described in this Agreement (the Relinquished Items); and

WHEREAS, Recipient desires to accept transfer, custody or possession of certain Relinquished Items from Relinquisher and Relinquisher desires to transfer such items on the terms and conditions set forth herein; and

WHEREAS, the parties intend that this Agreement establish the terms, payment, confidentiality and related obligations governing the transfer and handling of the Relinquished Items.

Scope of Work

The foregoing scope includes, without limitation, the transfer of possession, delivery of listed documents and materials, labeling and inventory tasks, and any secure disposal or retention actions expressly authorized in writing by both parties.

Inventory of Relinquished Items

Each item shall be recorded with sufficient detail to permit identification, including serial numbers, quantities, condition, and any known encumbrances or third-party interests. Recipient acknowledges receipt of the items listed herein only upon signature and delivery acceptance.

Payment Terms

Consideration to be paid by Recipient to Relinquisher for the services and/or transfer of Relinquished Items: $

Late payment shall accrue interest at per month on overdue amounts, or the maximum rate permitted by applicable law, whichever is less. Recipient is responsible for all collection costs, including reasonable attorney fees, incurred by Relinquisher to enforce payment obligations.

Term and Termination

This Agreement commences on and continues until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice. Termination for cause may occur immediately upon written notice if the other party materially breaches any obligation and fails to cure within 10 days of notice, or immediately if the breach cannot be cured.

Confidentiality

For purposes of this Agreement, Confidential Information means non-public information disclosed by one party to the other relating to the Relinquished Items, business operations, trade secrets, customer data, or any information reasonably understood to be confidential. Recipient agrees to hold Confidential Information in confidence and not to use, disclose or reproduce it except as necessary to perform obligations under this Agreement or as required by law. Obligations of confidentiality survive termination for a period of three (3) years, unless a longer period is required by law.

Exceptions: Confidential Information does not include information that is or becomes publicly available through no breach by Recipient, was in Recipient's possession prior to disclosure, was rightfully received from a third party without restriction, or is independently developed by Recipient without use of the disclosing party's Confidential Information.

Representations, Warranties and Indemnity

Each party represents and warrants that it has full authority to enter into this Agreement and that the performance of its obligations will not violate any applicable law or third‑party agreement. Relinquisher represents that to the best of its knowledge it has the right to transfer possession of the Relinquished Items and that, except as disclosed in writing, the items are not subject to undisclosed liens or encumbrances.

Recipient shall indemnify, defend and hold harmless Relinquisher from and against any and all claims, losses, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of Recipient's possession, use, transfer, or disposition of Relinquished Items, except to the extent caused by Relinquisher's gross negligence or willful misconduct.

Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Any legal action arising from this Agreement shall be brought in the state or federal courts located within the same state, and the parties consent to personal jurisdiction therein.

Entire Agreement; Amendments

This Agreement, including any attachments and schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements. No amendment or modification of this Agreement is effective unless in writing and signed by authorized representatives of both parties.

Acknowledgement

By signing below, each party acknowledges that it has read and understands this Agreement, that it has the authority to enter into and perform this Agreement, and that it accepts responsibility for the obligations assigned to it herein.
