Recitals

This Miscellaneous Removal Addendum (the "Addendum") is made effective as of and supplements the original agreement identified below.

Each party shall indemnify, defend, and hold harmless the other party from and against any third-party claims, losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of the removing party's negligent or willful acts in connection with the removal, except to the extent caused by the indemnitee's negligence or willful misconduct.

Confidentiality

The parties acknowledge that information exchanged in connection with the removal activities may constitute Confidential Information under the Agreement. Except as required by law, each party shall keep such information confidential and shall not disclose it to any third party without the other party's prior written consent. This confidentiality obligation survives termination of this Addendum for a period of three (3) years.

If any provision of this Addendum is held to be invalid or unenforceable, the remainder of this Addendum shall remain in full force and effect and shall be interpreted to give effect to the parties' intent.
