Each party will hold confidential all non-public information disclosed by the other party in connection with this Request and any resulting Rental Agreement, including pricing, technical specifications, and proprietary methods. Confidential information will not be disclosed except to employees, agents, or contractors with a need to know and who are bound by confidentiality obligations. This obligation will survive termination for years.

GOVERNING LAW

This Request and any resulting Rental Agreement will be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Venue for disputes will be in the courts located in the county where Supplier maintains its principal place of business.

ENTIRE AGREEMENT

This Request, together with any Supplier acceptance, purchase order acknowledgment, and attachments expressly incorporated herein, constitutes the entire agreement between Requestor and Supplier with respect to the subject matter and supersedes all prior proposals, representations, or agreements, whether written or oral.
