MISCELLANEOUS RESERVE SET AGREEMENT

This Miscellaneous Reserve Set Agreement (the Agreement) is entered into as of between:

RECITALS

WHEREAS, Client requires establishment and administration of certain cash or credit reserves (the Reserves) to secure obligations and contingencies arising in connection with the project or activities identified as ; and

WHEREAS, Counterparty has experience in establishing, holding and disbursing reserve funds, and agrees to accept appointment to set, hold, adjust and release Reserves in accordance with the terms set forth in this Agreement; and

WHEREAS, the parties desire to define the scope, amounts, review procedures, release conditions and governing law applicable to the Reserves.

SCOPE OF WORK

Counterparty shall establish and maintain a reserve account or ledger (Reserve Account) on behalf of Client and perform the administrative tasks necessary to (i) calculate required reserves, (ii) receive and hold deposited reserve funds, (iii) disburse funds in accordance with the conditions set forth herein, and (iv) provide periodic reporting to Client as required by this Agreement.

PAYMENT TERMS

Client agrees to deposit the Initial Reserve Amount and subsequent top-ups as required to maintain the Required Reserve levels. Payments shall be made in the amounts and on the schedule set forth below.

Late payment charge: A late fee equal to of the overdue amount per month (or the maximum permitted by applicable law, if less) shall accrue on amounts not received when due.

All disbursements from the Reserve Account shall be made only upon presentation of written documentation demonstrating the occurrence of a reserved event or approved charge, and in accordance with the disbursement procedures set forth in the Scope of Work. Counterparty is authorized to deduct reasonable administrative fees from the Reserve Account if explicitly set forth in writing elsewhere in this Agreement.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Termination shall not relieve Client of its obligation to fund any outstanding Required Reserve amounts or to reimburse Counterparty for properly incurred costs and fees through the effective date of termination.

CONFIDENTIALITY

Each party agrees that all non-public information and records concerning the other party's business, proprietary processes, reserve calculations, account balances and documentation obtained in connection with this Agreement (Confidential Information) shall be held in strict confidence and used solely for performance under this Agreement. Confidential Information shall not include information that is or becomes publicly available other than through a breach of this Agreement, or that is lawfully obtained from a third party without confidentiality obligations.

Each party shall implement reasonable administrative, technical and physical safeguards to protect Confidential Information and shall limit access to those employees, agents or contractors who have a need to know and who are bound by confidentiality obligations no less protective than those in this Agreement.

LIMITED RELEASES AND RELEASE CONDITIONS

Reserves shall be released only upon (a) written claim and supporting documentation demonstrating the occurrence of the reserved event, (b) mutual written approval of Client and Counterparty where required under this Agreement, or (c) final adjudication or binding settlement obligating payment from the Reserve Account. Counterparty may rely on certifications, invoices and other documents submitted in good faith and shall have no duty to independently investigate the merits of a claimed event except as expressly required by applicable law or this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral, relating to the Reserves. Any amendment must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted hereunder shall be delivered in writing to the addresses set forth above or to such other address as either party may designate by written notice to the other in accordance with this section. Notice shall be effective upon receipt.
