This General Business Agreement (the "Agreement") is entered into as of Effective Date: by and between Client Name: and Contractor Name: .

Recitals

WHEREAS, Client requires certain professional services and deliverables described in this Agreement; and

WHEREAS, Contractor represents that it has the requisite experience and capacity to perform the described services in a professional manner and in accordance with the terms set forth below; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to such services under this Agreement.

Scope of Work

Contractor shall perform the services and deliver the work product described below. Contractor shall use commercially reasonable efforts to meet schedules set forth and to deliver work in accordance with accepted industry practices.

Payment Terms

Client shall pay Contractor for services rendered in accordance with the following terms. All fees shall be paid in United States dollars unless otherwise agreed in writing.

Invoices are due and payable within days of receipt. If any amount is not paid when due, Client shall pay a late fee equal to the lesser of (i) per month on the overdue balance or (ii) the maximum rate permitted by applicable law. Client shall also reimburse Contractor for reasonable costs of collection, including attorneys' fees, whether or not litigation is commenced.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate for material breach if the breaching party fails to cure the breach within thirty (30) days after receipt of written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred prior to the termination date.

Confidentiality

"Confidential Information" means nonpublic information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each receiving party shall (i) hold Confidential Information in strict confidence, (ii) use Confidential Information solely to perform its obligations under this Agreement, and (iii) not disclose Confidential Information to any third party except to employees, contractors, or agents who have a need to know and who are bound by confidentiality obligations at least as restrictive as those contained herein. The obligations set forth in this clause shall continue for a period of years following termination or expiration of this Agreement, except that trade secrets shall be protected for as long as such information qualifies as a trade secret under applicable law.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered by hand, nationally recognized overnight courier, or certified mail (return receipt requested) to the addresses provided below or such other address as a party may designate by notice in accordance with this section.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties agree to attempt in good faith to resolve any dispute arising out of or relating to this Agreement through negotiation among senior representatives. If the dispute is not resolved by negotiation within sixty (60) days, the parties may pursue any remedy available at law or in equity.

Indemnification

Each party shall indemnify, defend and hold harmless the other party and its officers, directors and employees from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or resulting from the indemnifying party's breach of this Agreement, negligence, or willful misconduct. The indemnified party shall promptly notify the indemnifying party of any claim and permit the indemnifying party to control the defense and settlement, provided that no settlement that admits fault or requires payment by the indemnified party may be entered without the indemnified party's prior written consent.

Entire Agreement; Amendments

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and understandings, whether written or oral. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by an authorized representative of each party.

Severability; Assignment

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Neither party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets.

Acknowledgement

Each party represents and warrants that it has the full power and authority to enter into this Agreement, that the person signing below is authorized to bind the party, and that entry into and performance under this Agreement will not violate any other agreement to which such party is bound.
