This Miscellaneous RFEP Form ("Agreement") is entered into as of by and between (Client) and (Provider), collectively the Parties.

WHEREAS

WHEREAS, Client requires the provision of certain services or deliverables described herein under an RFEP (Request for Feasible Enhancement or Project) on the terms set forth in this Agreement; and

WHEREAS, Provider represents that it possesses the expertise, personnel and resources necessary to perform the services and deliverables described in the Scope of Work and shall perform such services in a professional and workmanlike manner; and

WHEREAS, the Parties desire to set forth in writing their mutual rights, duties and obligations with respect to the RFEP engagement.

Late Payment Fee: If any undisputed invoice is not paid within days after the invoice due date, interest at per month (or the maximum permitted by law, if less) will accrue on the outstanding balance. Minimum late fee per invoice: $

TERM AND TERMINATION

This Agreement commences on and, unless earlier terminated in accordance with this Section, continues through (the Term).

Either Party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective termination date. Either Party may terminate immediately for material breach if the breaching Party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by either Party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each Party shall: (a) hold Confidential Information of the other in strict confidence; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to those employees, contractors or professional advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidential Information does not include information that: (i) is or becomes publicly available without breach; (ii) was known to the receiving Party prior to disclosure; (iii) is independently developed without use of the disclosing Party's Confidential Information; or (iv) is required to be disclosed by law, provided the receiving Party gives prompt notice to the disclosing Party to permit a protective order or other remedy.

REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants to the other that: (a) it has the full power and authority to enter into this Agreement; (b) the execution and performance of this Agreement will not violate any agreement, law or obligation by which it is bound; and (c) to the extent applicable, Provider warrants that services will be performed in a professional manner consistent with industry standards.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The Parties consent to the exclusive jurisdiction and venue of the state and federal courts located within that State for any dispute arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement (including any exhibits, attachments and statements of work executed by the Parties) constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment to this Agreement will be effective unless in writing and signed by authorized representatives of both Parties.
