Recitals

WHEREAS, Client desires to engage Service Provider to perform certain services described herein and Service Provider represents that it has the qualifications, experience and ability to perform such services; and

WHEREAS, the parties wish to set forth the terms and conditions under which the services will be provided, including terms of payment, confidentiality obligations, and the term of this Agreement.

Payment Terms

Late Payment: If any undisputed amount due hereunder is not paid within days after the due date, the unpaid balance shall accrue a late fee equal to per month (or the maximum permitted by applicable law, if less). Interest and late fees shall not apply to amounts disputed in good faith while the dispute is being resolved.

Either party may terminate this Agreement for any reason upon providing days' prior written notice to the other party. Confidentiality

For purposes of this Agreement, "Confidential Information" means all non-public information disclosed by one party to the other, whether oral, written or electronic, that is designated as confidential or that a reasonable person would understand to be confidential given its nature and the circumstances of disclosure. Each party agrees to: (a) hold Confidential Information of the other party in strict confidence; (b) not use such Confidential Information except to perform its obligations under this Agreement; and (c) not disclose such Confidential Information to any third party except to employees, contractors or advisors who have a need to know and who are bound by written confidentiality obligations no less protective than those herein. Confidential Information shall not include information that is or becomes publicly available other than through a breach of this Agreement, that was rightfully in the receiving party's possession prior to disclosure, or that is independently developed by the receiving party without use of the disclosing party's Confidential Information. Upon termination or expiration of this Agreement, the receiving party shall return or destroy the disclosing party's Confidential Information and certify such destruction upon request.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to that State's conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes arising under this Agreement.

Representations and Warranties

Each party represents and warrants that: (a) it has full power and authority to enter into and perform this Agreement; (b) performance of its obligations hereunder will not violate any applicable law or contractual obligation to any third party; and (c) it will comply with all applicable laws in the performance of its duties under this Agreement.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from and against claims, liabilities, losses and expenses (including reasonable attorneys' fees) arising from the indemnifying party's breach of this Agreement or willful misconduct. Except for liability arising from gross negligence, willful misconduct, or a breach of confidentiality or indemnification obligations, neither party shall be liable to the other for consequential, incidental, special or punitive damages.

Entire Agreement

This Agreement, including any schedules or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, representations, proposals, understandings and agreements, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party designates in writing. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign this Agreement in connection with a merger, acquisition or sale of substantially all of its assets.
