Recitals (WHEREAS)

WHEREAS, the parties entered into the Agreement referenced above for the provision of certain goods and/or services; and

WHEREAS, the parties desire to modify the Agreement to set forth additional or clarifying terms specific to the work described in this Rider and to confirm the parties' respective rights and obligations as set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the sufficiency of which is acknowledged, the parties agree as follows:

Additional Compensation: Client shall pay Contractor an additional sum of for the work described in Section 1, subject to the schedule and conditions below.

Invoices shall be presented to Client in accordance with the payment schedule. Invoices are due within days of receipt. Overdue amounts shall accrue interest at a rate of % per month (or the maximum lawful rate if less). A one-time administrative late charge of may also be assessed on invoices overdue more than 30 days.

3. Term and Termination

Term: The obligations set forth in this Rider commence on and shall continue until unless earlier terminated in accordance with this Rider.

Termination for Convenience: Either party may terminate this Rider without cause upon written notice delivered to the other party at least days prior to the effective date of termination.

Termination for Cause: Either party may terminate this Rider immediately upon written notice if the other party materially breaches a provision of this Rider and fails to cure such breach within days after receipt of written notice specifying the breach.

4. Confidentiality

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party, and shall use only for purposes of performing under the Agreement and this Rider, any Confidential Information disclosed by the other party (the "Disclosing Party"). "Confidential Information" means non-public information that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

Exceptions: Confidential Information shall not include information that: (a) is or becomes publicly known through no breach of this Rider by the Receiving Party; (b) is rightfully received from a third party without restriction; (c) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law, provided that the Receiving Party gives prompt written notice to the Disclosing Party to permit a protective order or other remedy.

Duration of Confidentiality: The obligations in this Section shall survive termination of this Rider for a period of years, except with respect to trade secrets where protection shall continue so long as such information remains a trade secret under applicable law.

5. Notices

All notices required or permitted under this Rider shall be in writing and delivered to the addresses set forth below for each party.

6. Governing Law; Venue

This Rider shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of state and federal courts located in that State for any dispute arising out of or relating to this Rider.

7. Entire Agreement; Amendment

This Rider amends and supplements the Agreement. Except as expressly modified by this Rider, all terms and conditions of the Agreement remain in full force and effect. This Rider, together with the Agreement, constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral.

No amendment or modification of this Rider shall be effective unless in writing and signed by authorized representatives of both parties.

8. Additional Provisions

The provisions of this Rider are severable. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
