General Business Agreement — Recitals

THIS AGREEMENT is made between Client Name: and Contractor Name: .

WHEREAS, Client desires to engage Contractor to perform certain review, remediation and related professional services described herein (the "Services"), and Contractor represents that it has the experience, personnel and resources necessary to perform the Services in accordance with this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions under which the Services will be provided, including scope, compensation, confidentiality and dispute resolution; and

WHEREAS, the parties intend that this Agreement constitute a binding contract enforceable according to its terms.

Scope of Work

Contractor shall perform the Services described below. The Services shall be performed in a commercially reasonable manner consistent with industry standards and applicable law.

Payment Terms

In consideration for the Services, Client shall pay Contractor pursuant to the terms set forth below. All amounts are stated in United States dollars unless otherwise agreed in writing.

Payments not made within thirty (30) days of an undisputed invoice shall accrue interest at the rate set forth in the Late Payment Fee above and Contractor may suspend performance after providing ten (10) days' written notice of intent to suspend.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period specified above after receipt of written notice. Termination for convenience by Client requires thirty (30) days' prior written notice and payment for all Services performed and reasonable demobilization costs.

Confidentiality

"Confidential Information" means non-public business, technical or financial information disclosed by one party to the other, whether disclosed orally, in writing, electronically or by inspection. Each receiving party shall:

(a) hold Confidential Information in strict confidence and not disclose it to any third party except as permitted herein; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) take reasonable measures to protect Confidential Information from unauthorized use or disclosure at least as protective as those used to protect its own confidential information of a similar nature.

Confidential Information does not include information that: (i) is or becomes publicly known through no breach of this Agreement; (ii) is rightfully received from a third party without restriction; (iii) is independently developed without use of Confidential Information; or (iv) is required to be disclosed by law, provided the disclosing party gives prompt notice and cooperates with any effort to obtain confidential treatment.

Representations, Warranties and Indemnity

Each party represents and warrants that it has the full right, power and authority to enter into this Agreement and to perform its obligations hereunder. Contractor warrants that Services will be performed in a professional and workmanlike manner consistent with industry standards.

Contractor shall indemnify and hold harmless Client from and against any third-party claims arising from Contractor's negligent acts or willful misconduct in the performance of the Services, except to the extent such claims arise from Client's negligence or willful misconduct.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Jurisdiction: without regard to conflict of law principles. The parties shall attempt in good faith to resolve disputes through negotiation; if unresolved, disputes shall be resolved by binding arbitration in the chosen jurisdiction unless the parties agree otherwise in writing.

Entire Agreement; Amendments

This Agreement, including any exhibits and statements of work incorporated by reference, constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior agreements and understandings. Any modification or amendment must be in writing and signed by authorized representatives of both parties.

Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest in connection with a merger or sale of substantially all of its assets.
