MISCELLANEOUS ROUTING SERVICE AGREEMENT

This Miscellaneous Routing Service Agreement ("Agreement") is entered into as of by and between Client Name: and Service Provider Name: .

RECITALS

WHEREAS, Client requires routing services consisting of planning, sequencing, scheduling, and dissemination of delivery or transport instructions (the "Routing Services"); and

WHEREAS, Service Provider represents that it possesses the personnel, systems, and expertise necessary to perform the Routing Services in accordance with industry standards and the terms of this Agreement; and

WHEREAS, the parties desire to set forth the terms, conditions, and obligations governing the provision of the Routing Services.

SCOPE OF WORK

Service Provider shall provide Routing Services as described below. The description sets forth material tasks, deliverables, and performance standards.

PAYMENT TERMS

Client shall pay Service Provider the fees described below in consideration for the Routing Services. All fees are exclusive of applicable taxes unless otherwise stated.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until the End Date, unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for the notice period set forth above. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred prior to the effective date of termination.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means nonpublic information disclosed by one party to the other in any form that is identified as confidential or that a reasonable person would understand to be confidential.

Receiving party shall (i) hold Confidential Information in strict confidence, (ii) use Confidential Information only to perform obligations under this Agreement, and (iii) limit disclosures to those employees, contractors, or agents who have a need to know and are bound by confidentiality obligations no less protective than those in this Agreement. Confidential Information does not include information that (a) is or becomes publicly available through no fault of the receiving party; (b) was lawfully in the receiving party's possession prior to disclosure; (c) is rightfully received from a third party without restriction; or (d) is independently developed without use of the disclosing party's Confidential Information.

INDEMNIFICATION AND LIABILITY

Each party shall indemnify, defend, and hold harmless the other party from and against claims arising out of its negligence, willful misconduct, or breach of this Agreement. Except for liability arising from gross negligence, willful misconduct, or indemnification obligations, neither party's aggregate liability for any claim arising under this Agreement shall exceed the total amounts paid by Client to Service Provider under this Agreement during the twelve (12) month period preceding the claim.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Exclusive venue for disputes shall be the courts located in .

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any modification or amendment must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Notices required by this Agreement shall be in writing and delivered to the addresses set forth above. If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall continue in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or in connection with a sale of substantially all of its business.
