WHEREAS

WHEREAS, Company desires to engage Service Provider to perform certain services described herein and Service Provider represents that it has the skill, personnel and capacity to perform such services in accordance with the terms of this Agreement;

SCOPE OF WORK

PAYMENT TERMS

Compensation: Company shall pay Service Provider the total amount of USD for the services described in the Scope of Work, subject to the payment schedule below.

Late Payment: Any undisputed amount not paid within days after the due date shall accrue interest at a rate of (the Late Fee). The Late Fee shall be the sole remedy for late payment except as otherwise provided by law.

TERM AND TERMINATION

Term: This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Termination for Convenience: Either party may terminate this Agreement for convenience upon providing the other party with written notice at least days in advance. Termination shall not relieve the parties of obligations accrued prior to the effective date of termination.

Termination for Cause: Either party may terminate immediately upon written notice in the event of a material breach by the other party that remains uncured for thirty (30) days following written notice of such breach.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public, proprietary or business information disclosed by one party to the other, whether disclosed orally, visually or in writing, that is designated as confidential or that a reasonable person would understand to be confidential under the circumstances.

Obligations: Each receiving party shall (i) use Confidential Information solely to perform its obligations under this Agreement; (ii) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; and (iii) not disclose Confidential Information to any third party except to its employees, consultants or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those contained herein.

Exclusions and Duration: Confidential Information does not include information that (a) is or becomes generally available to the public through no fault of the receiving party, (b) was in the receiving party’s possession prior to receipt as shown by written records, or (c) is independently developed without use of the disclosing party’s Confidential Information. The obligations shall continue for years following termination or expiration of this Agreement, unless otherwise required by law to be longer.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state specified above without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that state for any legal action arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous oral and written agreements, proposals, and communications. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Notices shall be in writing and deemed given when delivered personally, sent by certified mail (return receipt requested), or sent by nationally recognized overnight courier to the addresses set forth above or such other address as a party may designate by notice in accordance with this section.
