WHEREAS, the parties agree that the attestations made in this Affidavit shall be relied upon by the parties and may be relied upon by third parties with an interest in compliance, permits, or insurance.

Payment Terms

Client agrees to pay Provider for services rendered under this Agreement in accordance with the terms set forth below.

Term and Termination

This Agreement commences on the Start Date and continues until the End Date or until earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period specified above. Termination does not relieve the Client of obligation to pay for services performed prior to termination.

Confidentiality

Each party shall keep confidential all non-public proprietary information disclosed in connection with this Agreement. Confidential information does not include information that (i) is or becomes publicly available through no fault of the receiving party; (ii) is independently developed by the receiving party without use of the disclosing party's confidential information; or (iii) is required to be disclosed by law, provided that the disclosing party is given prompt notice and opportunity to seek protective measures.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles.

Entire Agreement

This Agreement, including any attachments and executed affidavits, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior oral and written agreements. Any amendment must be made in writing and signed by both parties.
