RECITALS

WHEREAS, Client desires to retain Provider to perform certain professional services in accordance with the terms and conditions set forth herein; and

WHEREAS, Provider represents that it has the skill, experience and resources to perform the described services and agrees to provide such services to Client on the terms set forth in this Agreement; and

WHEREAS, the parties intend that this Agreement define their respective rights and obligations and provide for remedies in the event of a breach.

SCOPE OF WORK

PAYMENT TERMS

As consideration for the services, Client shall pay Provider the fees set forth below in accordance with the payment schedule. Fees do not include any taxes, duties or assessments which shall be the responsibility of the party required by law to pay the same.

Client shall pay all undisputed invoices within the number of days stated above from the invoice date. Disputes must be submitted in writing within ten (10) days of receipt of the invoice.

Any amount not paid when due shall accrue interest at the rate specified above and shall be payable on demand. Acceptance of late payments shall not constitute a waiver of the right to pursue any remedy for breach.

TERM AND TERMINATION

This Agreement shall commence on and continue until , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon providing the notice period specified above. Either party may terminate for material breach where the breaching party fails to cure such breach within fifteen (15) days after written notice specifying the breach.

CONFIDENTIALITY

Each party acknowledges that during the term of this Agreement it may have access to confidential and proprietary information of the other party ("Confidential Information"). Confidential Information shall not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was rightfully known to the receiving party prior to disclosure; or (c) is rightfully obtained from a third party without restriction. The receiving party shall (i) protect Confidential Information with at least the same degree of care it uses to protect its own similar confidential information, and (ii) use Confidential Information only as necessary to perform its obligations under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. Venue for any dispute arising under this Agreement shall be in the state or federal courts located within that state.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, proposals, negotiations and agreements, whether written or oral. No amendment or modification of this Agreement shall be effective unless made in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign this Agreement to an affiliate or in connection with a merger or sale of substantially all of its assets. If any provision of this Agreement is held unenforceable, the remainder shall remain in full force and effect. The parties acknowledge that monetary damages may be inadequate to remedy a breach of confidentiality and that injunctive relief may be sought in addition to other remedies.
