MISCELLANEOUS SAND CHANGE AGREEMENT

This Miscellaneous Sand Change Agreement ("Agreement") is made effective as of by and between:

RECITALS

WHEREAS, Client desires to engage Contractor to perform sand change and related services described herein at the Client's premises or project site; and

WHEREAS, Contractor represents that it possesses the necessary skill, experience, equipment and licenses to perform the sand change services in a professional manner consistent with industry standards; and

WHEREAS, the parties desire to set forth the terms and conditions governing Contractor's performance and Client's payment for such services.

SCOPE OF WORK

Contractor shall perform the sand change services described in this Agreement in accordance with the following scope and specifications. All work shall comply with applicable safety and environmental laws and good industry practice.

PAYMENT TERMS

Total Contract Price: $

All payments are due within days of the date of Contractor's invoice. Invoices shall itemize completed work, quantities of sand supplied or removed, and any change orders approved in writing.

Late Payment: Amounts not paid when due shall accrue a late fee of per month (or the maximum permitted by law, if less), plus recovery costs, including reasonable attorney's fees.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. In the event of a material breach, the non-breaching party may terminate if the breaching party fails to cure the breach within days after written notice of the breach. Termination shall not relieve Client of payment for work performed and materials supplied prior to termination, nor Contractor of obligations to return Client property or refund prepaid amounts attributable to unperformed work.

CONFIDENTIALITY

Each party shall keep confidential and shall not disclose to any third party any non-public business, technical or financial information disclosed by the other party in connection with this Agreement ("Confidential Information"), except to the extent necessary to perform obligations under this Agreement or as required by law. Confidential Information does not include information that (i) is or becomes publicly available without breach of this Agreement; (ii) was lawfully in the receiving party's possession prior to disclosure; or (iii) is independently developed without use of the other party's Confidential Information. The obligations in this section shall survive termination or expiration of this Agreement for a period of two (2) years.

INSURANCE, INDEMNITY & SAFETY

Contractor shall maintain commercial general liability insurance and workers' compensation as required by law and provide proof of insurance upon request. Contractor shall indemnify and hold harmless Client from and against claims, damages or liabilities arising from Contractor's negligent performance, willful misconduct or breach of this Agreement, except to the extent caused by Client's negligence or willful misconduct.

GOVERNING LAW

This Agreement and any dispute arising out of or related to it shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any exhibits or written change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written agreements, proposals or understandings. No amendment or waiver shall be effective unless in writing and signed by both parties.

NOTICES

Any notice required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing. Notices shall be effective upon receipt.

MISCELLANEOUS

The parties are independent contractors. Nothing in this Agreement creates an employment, partnership or joint venture relationship. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
