PAYMENT TERMS

Invoice Payment Terms: Net days from receipt of a correct invoice. Late payment shall accrue interest at on any unpaid balance, compounded monthly, or the maximum rate permitted by law, whichever is lower.

TERM AND TERMINATION

This Schedule shall commence on and shall terminate on unless earlier terminated in accordance with this Schedule or the Master Agreement.

Either party may terminate this Schedule for material breach if the breaching party fails to cure such breach within days after receipt of written notice. For convenience, either party may terminate upon days' prior written notice to the other party.

CONFIDENTIALITY

Each party acknowledges that, in connection with the performance of this Schedule, it may receive Confidential Information of the other party. Confidential Information shall include non-public information disclosed in any form that a reasonable person would understand to be confidential. The receiving party shall: (a) use Confidential Information solely for performance of obligations under this Schedule; (b) restrict disclosure to employees, contractors or agents with a need to know and who are bound by confidentiality obligations no less protective than those herein; and (c) exercise at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Confidentiality obligations set forth in this Schedule shall survive termination for a period of years following termination, unless a longer statutory or contractual period applies.

GOVERNING LAW

This Schedule shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the federal and state courts located in that State for disputes arising under this Schedule.

ENTIRE AGREEMENT; AMENDMENTS

This Schedule, together with the Master Agreement identified herein, constitutes the entire agreement between the parties with respect to the subject matter of this Schedule and supersedes all prior and contemporaneous negotiations, proposals and agreements, whether written or oral. No amendment of this Schedule shall be effective unless in writing and signed by authorized representatives of both parties. In the event of any conflict between this Schedule and the Master Agreement, the terms of this Schedule shall prevail with respect to the subject matter herein.

MISCELLANEOUS PROVISIONS

Except as expressly modified by this Schedule, all other terms and conditions of the Master Agreement remain unchanged and in full force. Any notices required by this Schedule shall be given in the manner prescribed in the Master Agreement.
