MISCELLANEOUS SCIENCE AGREEMENT

This Miscellaneous Science Agreement ("Agreement") is entered into as of the Effective Date set forth below by and between:

WHEREAS

WHEREAS, Client is engaged in scientific or technical work described as: and desires certain services, deliverables and research support; and

WHEREAS, Contractor represents that it has the requisite expertise, facilities and personnel to perform the services and produce the deliverables described herein; and

WHEREAS, the parties wish to set forth the terms and conditions under which Contractor will perform such services and produce such deliverables.

SCOPE OF WORK

Contractor shall perform the services and produce the deliverables described in this Section. The parties agree that the Scope of Work includes experimental design, data collection, analysis, and the delivery of written reports and supporting data files as applicable.

PAYMENT TERMS

Total Compensation: The Client shall pay Contractor the total amount specified below in consideration for the full and satisfactory performance of the Scope of Work.

Payments are due within the timeframe stated in the payment schedule after receipt of invoice. Overdue amounts shall accrue interest at the rate set forth above and Contractor may suspend work after providing written notice if invoices remain unpaid following the applicable cure period.

TERM AND TERMINATION

Term: This Agreement commences on and, unless earlier terminated in accordance with this Agreement, will expire on .

Either party may terminate this Agreement for convenience upon providing written notice to the other party no fewer than days prior to the intended termination date. Either party may terminate for material breach if the breach remains uncured for a period of thirty (30) days after written notice.

Upon termination, Client shall pay Contractor for work performed and documented expenses incurred through the effective date of termination, together with any amounts due under any non-cancellable obligations.

CONFIDENTIALITY

Definition: "Confidential Information" means information disclosed by one party to the other that is marked confidential or that reasonably should be understood to be confidential given its nature and the circumstances of disclosure, including experimental results, protocols, formulations, know-how, trade secrets, data sets, and unpublished findings.

Obligations: The receiving party shall (i) hold Confidential Information in strict confidence, (ii) not disclose Confidential Information to third parties except to employees, contractors or consultants who have a need to know and who are bound by confidentiality obligations at least as protective as this Agreement, and (iii) use Confidential Information solely for the purposes of performing under this Agreement.

Exclusions: Confidential Information does not include information that (i) is or becomes publicly known through no breach, (ii) is rightfully received from a third party without restriction, (iii) is independently developed without use of the other party's Confidential Information, or (iv) is required to be disclosed by law or court order, provided that the receiving party gives prompt notice to permit a protective order.

INTELLECTUAL PROPERTY AND DATA

Ownership of Deliverables: Unless otherwise agreed in writing, Contractor grants to Client a non-exclusive, royalty-free license to use the deliverables for Client's internal research and administrative purposes. The parties may specify alternate ownership; check the box that applies below to record the intended allocation.

Client retains ownership of all deliverables and data generated under this Agreement.

Contractor retains ownership of background intellectual property and grants Client a license to deliverables as described above.

Publication and Attribution: The parties agree to consult in good faith regarding publications arising from the work. Neither party may publish Confidential Information of the other without prior written consent, except where required for scientific publication subject to reasonable anonymization or delay to allow filing of intellectual property protections.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. Venue for any dispute shall be in the courts located within that state unless the parties agree otherwise in writing.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any appendices or attachments expressly incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and communications, whether written or oral. Any amendment or waiver must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Independent Contractors: The parties are independent contractors and nothing in this Agreement creates a partnership, joint venture, employment relationship or agency relationship between them.

Limitation of Liability: Except for liability arising from willful misconduct or gross negligence, neither party will be liable to the other for incidental, consequential, special or punitive damages. The aggregate liability for claims arising under this Agreement shall not exceed the total amount paid to Contractor under this Agreement.

Notices: Notices under this Agreement shall be in writing and delivered to the parties at the addresses set forth below or such other addresses as the parties may designate in writing.
