Recitals

Confidential Information does not include information that (i) is or becomes publicly available without breach of this Addendum, (ii) is rightfully received from a third party without restriction, or (iii) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

Upon termination or expiration of this Addendum, the recipient shall return or destroy all written Confidential Information and certify in writing to the disclosing party that such return or destruction has been completed, except as retention is required by law or reasonable internal recordkeeping procedures.

Governing Law

This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the competent courts located within that state for disputes arising under this Addendum.

Entire Agreement

This Addendum, together with the principal agreement referenced in the Recitals, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral. Any amendment or modification of this Addendum must be in writing and signed by both parties.

Miscellaneous Provisions

If any provision of this Addendum is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that monetary damages may be inadequate to remedy a breach of the confidentiality provisions and agree that injunctive relief may be sought in addition to other remedies.
