Payment Terms

The parties agree that refusal of service may alter payment obligations. The parties specify the following payment obligations arising from the engagement and from the refusal event:

Payment obligations arising from a refusal will be calculated consistent with the terms above and any documented out-of-pocket costs reasonably incurred by the Service Provider as a direct result of the refusal.

Either party may terminate for material breach, including refusal to permit performance when such refusal causes material loss, subject to the notice period above and an opportunity to cure where practicable. Confidential information excludes information that is already lawfully known, becomes publicly available through no fault of the recipient, or is independently developed.
