This Services Agreement ("Agreement") is entered into as of Effective Date: by and between Client Name: and Service Provider Name: .

RECITALS

WHEREAS, Client requires certain professional services of a non-exclusive and project-specific nature and desires to engage Provider to perform such services on the terms and conditions set forth in this Agreement; and

WHEREAS, Provider represents that it has the skill, experience, and resources necessary to perform the services described in this Agreement and agrees to perform such services in accordance with the standards of the profession; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the services to be provided under this Agreement.

SCOPE OF WORK

If any undisputed amount due under this Agreement is not paid within days after the due date, interest will accrue at the lesser of (i) percent per month, or (ii) the maximum rate permitted by law. In addition, a late fee of USD may be charged for each late invoice.

Either party may terminate this Agreement for any reason upon written notice to the other party given at least days prior to the intended termination date. Either party may terminate this Agreement immediately for material breach by the other party that remains uncured for a period of thirty (30) days following written notice specifying the nature of the breach.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other, whether oral, written, or electronic, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. The receiving party shall: (a) hold Confidential Information in strict confidence; (b) not use Confidential Information for any purpose except to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, agents, or subcontractors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein. Confidential Information does not include information that is: (i) generally available to the public through no fault of the receiving party; (ii) independently developed by the receiving party without reference to the disclosing party's Confidential Information; or (iii) rightfully obtained from a third party without restriction.

Parties agree that confidentiality obligations are mutual.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in that state for resolution of disputes arising out of or related to this Agreement, subject to any mandatory forum or arbitration provisions agreed separately in writing.

MISCELLANEOUS

Relationship of the Parties: Provider is an independent contractor. Nothing in this Agreement creates an employment, joint venture, agency, or partnership relationship between the parties. Provider shall be solely responsible for payment of all employment taxes and other obligations with respect to Provider's personnel.

Assignment: Neither party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other party, which consent shall not be unreasonably withheld; provided, however, that either party may assign this Agreement in connection with a sale of substantially all of its assets or a merger or acquisition.

Indemnification: Each party agrees to indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, losses, and expenses arising out of the indemnifying party's gross negligence, willful misconduct, or breach of this Agreement.

ENTIRE AGREEMENT

This Agreement (including all exhibits and attachments, if any) constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and representations, whether written or oral. Any amendments or modifications to this Agreement must be in writing and signed by duly authorized representatives of both parties.
