MISCELLANEOUS SHEETING TEMPLATE

This Miscellaneous Sheeting Template (the Agreement) is entered into as of Effective Date: by and between:

WHEREAS

WHEREAS, Client engages Contractor to provide sheeting, protective coverings, and related labor and materials for the project described herein; and

WHEREAS, Contractor has represented that it has the skill, expertise, personnel and equipment necessary to perform the sheeting services in accordance with industry standards and the terms of this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

SCOPE OF WORK

Contractor shall furnish all labor, materials, equipment and supervision necessary to perform the sheeting work described below in a professional and workmanlike manner and in compliance with applicable codes and site rules.

PAYMENT TERMS

The total contract price for all work performed under this Agreement shall be:

Invoices are due within days of receipt. Past due amounts shall incur a late fee of per month (or the maximum legal rate if less). Client shall also pay all reasonable collection costs, including attorney fees, incurred by Contractor to collect past due amounts.

TERM AND TERMINATION

The term of this Agreement shall commence on Start Date: and shall continue until Completion Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after written notice. Either party may terminate for convenience upon days' prior written notice to the other party; Client shall pay Contractor for work performed and materials procured through the termination effective date, plus reasonable demobilization costs.

CONFIDENTIALITY

Each party (the Receiving Party) shall keep confidential all non-public information disclosed by the other party (the Disclosing Party) that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information excludes information that: (a) is or becomes publicly known through no breach of this Agreement by the Receiving Party; (b) is received from a third party without breach of any obligation of confidentiality; (c) is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law, provided that the Receiving Party gives prompt written notice to the Disclosing Party and cooperates in seeking a protective order or other remedy.

The Receiving Party shall not disclose or use the Disclosing Party's Confidential Information except as necessary to perform its obligations under this Agreement. The obligations in this Section shall survive termination of this Agreement for a period of three (3) years.

INSURANCE, INDEMNITY AND STATUS

Contractor shall maintain insurance customary for sheeting and construction operations, including commercial general liability and workers' compensation as required by law. Contractor is an independent contractor and not an employee, partner, or agent of Client. Contractor shall defend, indemnify, and hold harmless Client from and against claims, damages, liabilities and expenses arising out of Contractor's performance, except to the extent caused by Client's negligence or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of: without regard to its conflicts of law principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any schedules or exhibits attached hereto, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remainder of this Agreement will remain in full force and effect. No waiver by either party of any breach shall operate as a waiver of any subsequent breach. Neither party may assign this Agreement without the prior written consent of the other, except that Client may assign to an affiliate or successor in interest.
