MISCELLANEOUS SIGNED RSPA

This Miscellaneous Reseller/Service Provider Agreement (the "Agreement") is entered into as of by and between Service Provider Name: , with principal place of business at , and Client Name: , with principal place of business at .

RECITALS

WHEREAS, Service Provider develops, resells, and supports specified products and services and possesses technical expertise and personnel necessary to perform the services described herein; and

WHEREAS, Client wishes to retain Service Provider to perform certain services on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth the terms governing their respective rights and obligations with respect to such services.

SCOPE OF WORK

Service Provider shall provide professional services, deliverables and support as agreed by the parties. Services shall include, but are not limited to, the tasks and deliverables set forth below and any attachments incorporated by reference:

PAYMENT TERMS

As consideration for the services rendered by Service Provider, Client shall pay Service Provider the amounts and according to the schedule set forth below. All fees are exclusive of taxes unless otherwise stated.

If any payment is not received by Service Provider within the number of days specified above, Client shall pay interest on the overdue amount at the lesser of or the maximum rate permitted by applicable law. In addition, Service Provider may suspend performance of services until payment is made in full.

TERM AND TERMINATION

This Agreement shall commence on and, unless earlier terminated in accordance with this Agreement, shall continue until .

Either party may terminate this Agreement for convenience upon written notice to the other party given not less than days prior to the effective date of termination. Either party may terminate immediately for material breach if such breach remains uncured for a period of thirty (30) days after receipt of written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred prior to the effective date of termination.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means all non-public business, technical and financial information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party") whether disclosed orally, visually or in writing and designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The Receiving Party shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) protect Confidential Information using at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; and (c) not disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those in this Agreement.

Confidential Information does not include information that: (i) is or becomes publicly available through no fault of the Receiving Party; (ii) is rightfully received from a third party without restriction on disclosure; (iii) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information; or (iv) is required to be disclosed by law or regulation, provided the Receiving Party gives prompt notice and cooperates with any efforts to seek protective measures.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of law principles. The parties shall first attempt in good faith to resolve any dispute arising out of or relating to this Agreement through negotiation between senior representatives. If negotiation does not resolve the dispute within forty-five (45) days, the parties may pursue any remedy available at law or in equity.

ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous proposals, negotiations, representations and agreements, whether written or oral. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

NOTICES

All notices, requests, consents and other communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate in writing. Notices shall be deemed given when delivered personally, sent by nationally recognized overnight courier, or three (3) business days after deposit in the U.S. mail, certified or registered, postage prepaid.

ADDITIONAL PROVISIONS

Independent Contractor. Service Provider is an independent contractor and nothing in this Agreement shall be construed to create a partnership, joint venture or employer-employee relationship between the parties.

Assignment. Neither party may assign or transfer this Agreement or any rights hereunder without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition or sale of substantially all of its assets.
