MISCELLANEOUS SINK SPECIFICATIONS

This General Business Agreement (the "Agreement") is entered into by and between Supplier Name: and Client Name: . Effective Date:

WHEREAS

WHEREAS, Supplier is engaged in the manufacture, supply and, if applicable, installation of plumbing fixtures and related products and has provided to Client the technical descriptions and drawings identified in this Agreement; and

WHEREAS, Client desires to procure from Supplier the sink units and related components described in the Scope of Work and to rely upon Supplier's warranties, specifications and delivery commitments as set forth in this Agreement.

WHEREAS, the parties intend for this Agreement to set forth the full terms, technical specifications and commercial conditions for the supply (and optional installation) of the sinks.

SCOPE OF WORK

The Supplier shall furnish sinks and components in accordance with the specifications below and any attached drawings or shop drawings approved in writing by Client. Any modifications to specifications requested after execution of this Agreement shall be treated as Change Orders as provided herein.

Either party may terminate this Agreement for material breach if the breaching party fails to cure within the Notice Period following written notice specifying the breach. Termination for convenience by Client is permitted upon payment of Supplier's reasonable documented costs incurred up to the effective date of termination.

CONFIDENTIALITY

Each party shall keep confidential and not disclose to any third party any non-public technical, commercial or financial information disclosed by the other party in connection with this Agreement. Confidential information does not include information that is or becomes public without breach, was independently developed, or is required to be disclosed by law or competent authority. The receiving party shall use confidential information solely to perform its obligations hereunder.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. Venue for any disputes shall be in a court of competent jurisdiction within that state unless the parties agree otherwise in writing.

ENTIRE AGREEMENT

This Agreement, together with any attachments, drawings and written change orders executed by both parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior negotiations, representations, and agreements, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

CHANGES AND CHANGE ORDERS

Any change to the Scope of Work, specifications, quantities, or delivery schedule requested by Client shall be submitted in writing. Supplier shall provide a written Change Order including adjustments to price, lead time and other terms. No Change Order shall be effective until executed by both parties.
