MISCELLANEOUS SKIRTING AGREEMENT

This Miscellaneous Skirting Agreement ("Agreement") is entered into effective as of Effective Date: by and between the parties identified below.

Contractor shall furnish all labor, materials, tools and supervision necessary to complete the skirting work described below. Contractor will perform the work in a good and workmanlike manner consistent with industry standards.

PAYMENT TERMS

Either party may terminate this Agreement for convenience upon written notice at least days prior to the effective termination date. Either party may terminate for cause if the other party fails to cure a material breach within thirty (30) days after written notice of such breach.

CONFIDENTIALITY

Each party shall maintain in confidence and shall not disclose to any third party any non-public business information regarding the other party that is designated as confidential or that by its nature should be reasonably understood to be confidential. Confidential information shall not include information that is or becomes generally available to the public through no fault of the receiving party, that was rightfully in the receiving party's possession prior to disclosure, or that is independently developed without reliance on the disclosing party's confidential information. Obligations under this Section survive termination or expiration of this Agreement for a period of two (2) years.

INDEMNIFICATION AND INSURANCE

Contractor shall indemnify, defend and hold harmless Client from and against claims, liabilities, losses and expenses arising from Contractor's negligence or willful misconduct in the performance of the work. Contractor shall maintain commercial general liability insurance and workers' compensation coverage as required by applicable law and shall provide evidence of such insurance upon request.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any attachments and written change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. No amendment or modification shall be binding unless in writing and signed by both parties.

NOTICES

All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth below by hand delivery, nationally recognized overnight carrier, or certified mail, return receipt requested.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect. The parties acknowledge that they have had the opportunity to consult counsel and that any rule of construction requiring interpretation against the drafting party shall not apply.
