MISCELLANEOUS SOCKETS AGREEMENT

This Miscellaneous Sockets Agreement (the Agreement) is entered into on this day of , (Effective Date), by and between:

RECITALS

WHEREAS, Client requires supply, installation, repair and related services for miscellaneous sockets, fittings, ports or connectors (collectively, Sockets) at one or more Client locations identified by Client; and

WHEREAS, Provider is engaged in the business of supplying and servicing Sockets and represents that it has the technical expertise, personnel, and equipment necessary to perform the work described herein; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

SCOPE OF WORK

Provider shall furnish all labor, materials, tools, testing, and supervision necessary to complete the work described in the scope. Provider shall perform work in a professional and workmanlike manner in accordance with applicable codes, standards, and manufacturer specifications.

PAYMENT TERMS

All invoices are due within the period set forth in the payment schedule. Client shall pay undisputed amounts in accordance with the payment schedule. Disputed amounts must be raised within ten (10) days of invoice; undisputed portions shall remain payable when due. Late payments shall accrue interest at the rate set forth above and Client shall be responsible for reasonable collection costs, including attorneys' fees.

TERM AND TERMINATION

This Agreement commences on the Effective Date and, unless earlier terminated, shall continue until the completion of the Scope of Work or until , , whichever occurs first.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within thirty (30) days after receipt of written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for work performed and accepted through the effective date of termination.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other, whether orally, in writing, or by inspection, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. Confidential Information excludes information that: (a) is or becomes generally available to the public other than as a result of a breach of this Agreement; (b) is rightfully received from a third party without restriction; (c) is independently developed without use of the disclosing party's Confidential Information; or (d) is required to be disclosed by law, provided the receiving party gives prompt notice and cooperates with any effort to limit disclosure.

The receiving party shall hold Confidential Information in confidence and shall not disclose it to third parties except to its employees, agents, or subcontractors who have a need to know, provided such persons are bound by confidentiality obligations no less protective than those contained herein. This obligation shall survive termination of this Agreement for the period set forth above.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's negligent acts or willful misconduct in performing its obligations under this Agreement. Except for liability arising from gross negligence or willful misconduct, neither party shall be liable for consequential, incidental, special or punitive damages. The aggregate liability of either party for claims arising out of or related to this Agreement shall not exceed the total amount paid or payable to Provider under this Agreement during the twelve (12) month period preceding the event giving rise to the claim.

INSURANCE

Provider shall maintain insurance customary for the industry, including commercial general liability and workers' compensation as required by law, with limits sufficient to cover the obligations under this Agreement. Upon request, Provider shall provide certificates evidencing such insurance.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state specified above, without regard to conflict of law principles.

MISCELLANEOUS PROVISIONS

Assignment: Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or in connection with a sale of all or substantially all of its assets.

Amendment and Waiver: No amendment or waiver of any provision shall be effective unless in writing and signed by both parties. Waiver of a breach shall not constitute waiver of any other breach.

Severability: If any provision is found unenforceable, the remaining provisions shall remain in full force and effect and the unenforceable provision shall be replaced with a valid provision that most closely approximates the parties' intent.

ENTIRE AGREEMENT

This Agreement, including any exhibits or schedules attached hereto and any written change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral.
