Term and Termination

This Agreement commences on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any provision of this Agreement and fails to cure the breach within the notice period specified above. Termination shall not relieve either party of obligations accrued prior to the effective date of termination.

Confidentiality

Each party acknowledges that, in the course of performance, it may have access to confidential or proprietary information of the other party ("Confidential Information"). Confidential Information does not include information that (a) is or becomes publicly known through no breach of this Agreement; (b) was known to the receiving party prior to disclosure; (c) is received from a third party without breach of any obligation of confidentiality; or (d) is independently developed by the receiving party.

The receiving party shall (i) hold Confidential Information in strict confidence, (ii) not disclose Confidential Information to any third party except as permitted herein, and (iii) use Confidential Information only for the purposes of performing under this Agreement. The obligations of confidentiality shall survive termination of this Agreement for a period of years.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its choice of law principles. The parties agree that the state and federal courts located in that state shall have exclusive jurisdiction over any disputes arising out of or relating to this Agreement.

Entire Agreement; Amendment

This Agreement, including any exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses listed above or to such other address as a party may designate in writing. Notices shall be deemed given when received by hand delivery, confirmed electronic transmission, or three (3) days after deposit with a nationally recognized overnight courier.

Miscellaneous

Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign this Agreement to an affiliate or in connection with a merger or sale of substantially all of its assets. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
