MISCELLANEOUS SQUARE SET

This Miscellaneous Square Set Agreement ("Agreement") is entered into as of , by and between:

WHEREAS

WHEREAS, Client requires a square set of miscellaneous items and related services described herein, including layout, measurement, fabrication coordination, and delivery supervision; and

WHEREAS, Contractor represents that it has the requisite experience, personnel, and capacity to perform the Scope of Work in accordance with the terms and conditions of this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations in writing.

SCOPE OF WORK

Contractor shall provide and complete the following services and deliverables for the Client in connection with the Miscellaneous Square Set:

Deliverables shall include, at minimum, accurate square measurements, marked layout plans, a materials list, and confirmation of delivery coordination. Any additional services or revisions requested by Client shall be documented in a written change order signed by both parties.

PAYMENT TERMS

Unless otherwise agreed in writing, Client shall pay Contractor according to the schedule above. Invoices are due upon receipt and payable within the time specified in the payment schedule. Any undisputed portion unpaid after the due date shall bear interest as set forth below.

If any payment remains overdue for more than thirty (30) days, Contractor may suspend performance until all past due amounts, including accrued late fees and reasonable collection costs, are paid in full. Acceptance of late payments shall not waive Contractor's right to enforce other remedies under this Agreement.

TERM AND TERMINATION

This Agreement commences on , and, unless earlier terminated in accordance with this Agreement, continues until , .

Either party may terminate this Agreement for cause if the other party materially breaches any provision and fails to cure such breach within the notice period set forth above. Termination shall not relieve Client of the obligation to pay for services performed through the effective date of termination, including reasonable wind-down costs.

CONFIDENTIALITY

Each party (the "Recipient") shall hold in confidence all Confidential Information disclosed by the other party (the "Discloser"), including but not limited to technical designs, pricing, client lists, measurements, layout plans, and business processes. Confidential Information does not include information that: (a) is or becomes publicly known through no breach by Recipient; (b) was known to Recipient prior to disclosure without restriction; (c) is received from a third party without breach of any obligation of confidentiality; or (d) is independently developed by Recipient without use of Discloser's Confidential Information.

Upon termination or written request, Recipient shall promptly return or destroy Discloser's Confidential Information and certify in writing that it has done so. The parties acknowledge that a breach of this confidentiality provision may cause irreparable harm for which monetary damages would be inadequate, and agree that injunctive relief is an appropriate remedy in addition to other available remedies.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. Venue for any dispute arising out of this Agreement shall lie exclusively in the state or federal courts located in that state.

ENTIRE AGREEMENT; MISCELLANEOUS

This Agreement, together with any exhibits or change orders signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, and agreements, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The headings in this Agreement are for convenience only and shall not affect interpretation.

LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable to the other for consequential, incidental, special, or punitive damages. The aggregate liability of either party for claims arising out of this Agreement shall not exceed the total amount actually paid by Client to Contractor under this Agreement.
