MISCELLANEOUS STAKE PCS DOCUMENT

RECITALS

WHEREAS, Client desires to engage Provider to perform certain stake placement, monitoring and associated PCS services described herein, and Provider has represented that it possesses the skill, personnel and resources necessary to perform such services in accordance with the terms of this Agreement; and

WHEREAS, the parties intend that Provider will deploy, manage and, where applicable, transfer ownership or control of stakes and PCS-related assets in accordance with the Scope of Work and Payment Terms set forth below, and the parties desire to set forth their respective rights and obligations in writing.

SCOPE OF WORK

PAYMENT TERMS

Total Compensation: Client shall pay Provider the total sum of USD for the services set forth in the Scope of Work, subject to adjustments expressly agreed in writing.

Payment Due: Unless otherwise agreed in writing, invoices are due within days from invoice date. Invoices shall be submitted to:

Late Payment: Any undisputed amount not received within the period set forth above shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. In addition, Client shall be responsible for reasonable collection costs, including attorneys' fees, incurred by Provider to collect overdue amounts.

TERM AND TERMINATION

Term: This Agreement commences on and continues until unless earlier terminated in accordance with this Section.

Termination for Convenience: Either party may terminate this Agreement upon providing the other party with not less than days' prior written notice.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within 15 days after receipt of written notice specifying the nature of the breach.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public information disclosed by one party to the other relating to business plans, stake holdings, technical data, proprietary processes, pricing, customer lists, and other information designated in writing as confidential or that by its nature should reasonably be understood to be confidential.

Obligation: Each receiving party shall (a) hold Confidential Information in strict confidence, (b) use Confidential Information solely to perform its obligations under this Agreement, and (c) not disclose Confidential Information to third parties except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein.

Exceptions: Confidential Information does not include information that is or becomes generally available to the public through no fault of the receiving party, is rightfully received from a third party without restriction, was known prior to receipt, or is independently developed by the receiving party without use of the disclosing party's Confidential Information. Disclosure compelled by law is permitted only after prompt notice to the disclosing party and use of reasonable efforts to obtain protective orders.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of courts located within that state for resolution of disputes under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits and written statements of work executed under it, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Assignability: Neither party may assign this Agreement or any rights hereunder without the prior written consent of the other party, except that Provider may assign to an affiliate or successor in interest in connection with a merger or sale of substantially all of Provider's assets.

Remedies: Except where specific remedy provisions are provided herein, the parties agree that monetary damages may be inadequate to remedy a breach of confidentiality or other material obligations and that the non-breaching party shall be entitled to seek injunctive relief in addition to any other remedies at law or in equity.
