MISCELLANEOUS STATUS WAIVER FORM

This Miscellaneous Status Waiver Form (the "Waiver") is entered into as of Effective Date: by and between the parties identified below.

WAIVER OF STATUS

Releasor acknowledges that, except as expressly set forth in writing in this Waiver, no employment relationship or entitlement to employee benefits arises from the Services.

In consideration for the foregoing waiver, Releasee will provide to Releasor the following consideration and payment terms.

TERM AND TERMINATION

Either party may terminate this Waiver for convenience upon written notice delivered no fewer than days to the other party. Termination does not relieve the parties of obligations accrued prior to the effective date of termination.

CONFIDENTIALITY

Each party shall keep confidential all non-public information disclosed by the other party in connection with the Services and this Waiver. Confidential information does not include information that is or becomes generally available to the public other than through a breach of this provision, or is rightfully received from a third party without restriction. Releasor represents and warrants that Releasor has full authority to enter into this Waiver and that the execution and performance of this Waiver does not violate any other agreement to which Releasor is a party. Releasor acknowledges receipt of the consideration described above and affirms that the waiver is given knowingly, voluntarily, and without coercion.

GOVERNING LAW; DISPUTE RESOLUTION

This Waiver shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. Any dispute arising out of or relating to this Waiver shall be subject to the exclusive jurisdiction of the courts located in that State, unless the parties agree in writing to alternative dispute resolution.

ENTIRE AGREEMENT

This Waiver constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, negotiations, and agreements, whether written or oral. No modification, amendment, or waiver of any provision of this Waiver will be effective unless in writing and signed by both parties.

SEVERABILITY

If any provision of this Waiver is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect and shall be construed so as to effectuate the original intent of the parties to the greatest extent possible.
