MISCELLANEOUS SUMMER PRUNE TEMPLATE

Parties and Recitals

This General Business Agreement (the "Agreement") is entered into between Client Name: and Contractor Name: .

WHEREAS, Client owns or controls the real property located at (the "Property"); and

WHEREAS, Contractor is experienced in summer pruning, trimming, removal of deadwood, and related horticultural services and is willing to perform the services described below on the terms set forth in this Agreement.

Scope of Work

Contractor shall furnish labor, equipment, materials (unless otherwise specified), and supervision necessary to perform the described work in a professional manner consistent with industry standards for summer pruning, including but not limited to selective thinning, crown lifting, removal of dead or hazardous branches, and cleanup of debris. Any work outside the written Scope of Work requires prior written authorization and may be billed separately.

Payment Terms

Unless otherwise agreed in writing, Client shall pay all invoices within days of the invoice date. A late fee of will accrue on overdue balances. Client agrees to reimburse Contractor for reasonable costs of collection, including attorneys' fees, if payment is not made as required.

Term and Termination

This Agreement shall commence on the Start Date: and shall continue until completion or the End Date: , unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice to the other party not less than days in advance. Either party may terminate immediately for material breach if the breaching party fails to cure such breach within days after written notice. Termination does not relieve Client of the obligation to pay for services performed through the effective date of termination, including any work in progress and reasonable demobilization costs.

Site Access and Safety

Client shall provide Contractor reasonable access to the Property and shall disclose known hazards and underground utilities prior to commencement. Contractor will follow reasonable safety practices. Contractor may suspend work if unsafe conditions exist until Client remedies the condition or authorizes alternate measures.

Confidentiality

For purposes of this Agreement, "Confidential Information" means non-public business information disclosed by either party in writing or orally and identified as confidential at the time of disclosure, including but not limited to pricing, proprietary pruning techniques, and tenant or homeowner information. Each party agrees to: (a) hold Confidential Information in strict confidence; (b) not disclose it to third parties except to employees, agents, or subcontractors who need to know and who are bound to confidentiality obligations; and (c) use Confidential Information only for performance of this Agreement. Confidentiality obligations will not apply to information that is or becomes publicly available through no fault of the receiving party, is rightfully received from a third party without restriction, or is independently developed.

Indemnification and Insurance

Contractor shall maintain commercial general liability insurance and workers' compensation as required by law and shall provide proof of insurance upon request. Contractor shall indemnify and hold Client harmless from liabilities, damages, and costs arising from Contractor's negligent acts or omissions in performing the services. Client shall indemnify Contractor for claims arising from Client's failure to disclose hazards or from the condition of the Property.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

Entire Agreement

This Agreement, including any exhibits and written change orders executed by both parties, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior negotiations, representations, and agreements, whether written or oral. No amendment or modification shall be effective unless in writing and signed by both parties.

Miscellaneous Provisions

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest to substantially all of its business.
