MISCELLANEOUS SUP PACKAGE AGREEMENT

This Miscellaneous SUP Package Agreement (the Agreement) is entered into as of by and between:

WHEREAS

WHEREAS, Client requires a supplemental package of services and deliverables described herein and desires to engage Provider to perform such services under the terms of this Agreement; and

WHEREAS, Provider possesses the expertise, personnel and resources necessary to perform the services and deliver the SUP Package in accordance with the scope and schedule agreed by the parties; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below, the parties agree as follows:

1. SCOPE OF WORK

The Scope of Work includes the supply, configuration and delivery of the SUP Package components, project management, and acceptance testing. Provider shall perform all tasks in a professional and workmanlike manner consistent with industry standards and the agreed schedule.

2. PAYMENT TERMS

Invoices shall be issued in accordance with the payment schedule above. Client shall pay undisputed invoices within days of the invoice date. Late payments shall accrue interest at the lesser of (i) % per month or (ii) the maximum rate permitted by applicable law. All payments are exclusive of taxes; Client is responsible for all sales, use, and other taxes imposed on the transactions under this Agreement unless Provider is required to collect such taxes.

3. TERM AND TERMINATION

This Agreement shall commence on the Start Date: and shall continue until the End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing written notice days prior to the intended termination date. Either party may terminate immediately for material breach by the other party if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach. Termination shall not relieve Client of the obligation to pay for services performed and expenses incurred through the effective date of termination.

4. CONFIDENTIALITY

"Confidential Information" means any non-public information disclosed by one party to the other that is designated as confidential or that, by its nature, ought reasonably to be treated as confidential. Confidential Information includes technical data, trade secrets, business plans, pricing, customer information and other proprietary material related to the SUP Package.

Receiving party shall: (a) hold Confidential Information in strict confidence and not disclose it to any third party except as expressly permitted herein; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) take reasonable measures to protect the confidentiality of such information, not less than those measures it uses to protect its own confidential information. Confidentiality obligations do not apply to information that (i) is or becomes publicly available through no fault of the receiving party, (ii) is rightfully received from a third party without breach of an obligation of confidentiality, (iii) is independently developed by the receiving party without use of the disclosing party's Confidential Information, or (iv) is required to be disclosed by law or court order, provided the receiving party gives prompt notice and cooperates to seek protective measures.

The obligations of confidentiality shall survive termination or expiration of this Agreement for a period of three (3) years, except for trade secrets, which shall remain confidential for so long as they qualify as trade secrets under applicable law.

5. REPRESENTATIONS, WARRANTIES, AND LIMITATIONS

Provider represents and warrants that it will perform services in a professional manner consistent with industry standards. EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, PROVIDER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF PROVIDER FOR DIRECT DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID BY CLIENT TO PROVIDER UNDER THIS AGREEMENT DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.

6. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Any action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in that State.

7. ENTIRE AGREEMENT; MODIFICATION

This Agreement (including any attachments and exhibits incorporated herein) constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any modification of this Agreement must be in a written instrument signed by duly authorized representatives of both parties.

8. MISCELLANEOUS

Assignment: Neither party may assign this Agreement or any of its rights or obligations hereunder without the prior written consent of the other party, except that Provider may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.

Notices: All notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may specify in writing.
