MISCELLANEOUS TESTING FEES AGREEMENT

WHEREAS

WHEREAS, Client requires certain testing, analysis, and related ancillary services described herein, and Provider is duly qualified and capable of performing such testing in accordance with professional standards; and

WHEREAS, the parties desire to set forth the fees, payment terms, responsibilities and other terms governing Provider’s performance of miscellaneous testing services on samples or materials submitted by Client.

SCOPE OF WORK

Provider shall perform the testing services as requested by Client and accepted by Provider. Specific tests, methods, deliverables and acceptance criteria shall be described below and incorporated into this Agreement.

FEES AND PAYMENT TERMS

Client shall pay Provider the fees for testing services as set forth below. Fees are exclusive of taxes unless otherwise stated.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period set forth above. Termination shall not relieve Client of obligations to pay for testing services performed and costs reasonably incurred through the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that, in connection with this Agreement, it may receive Confidential Information of the other party. "Confidential Information" includes non-public business information, test results, sample composition, methods, reports and related data. Each party shall: (a) hold Confidential Information in confidence using at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) use Confidential Information solely to perform obligations under this Agreement; and (c) not disclose Confidential Information to third parties except to employees, consultants or subcontractors having a need to know and bound by confidentiality obligations no less restrictive than herein. Confidentiality obligations shall survive termination for a period of years, except for information that becomes publicly available through no fault of the receiving party.

LIMITATION OF LIABILITY AND INDEMNITY

Provider's liability for any claim arising out of or relating to the performance of testing services shall be limited to direct damages not to exceed the total fees paid by Client for the specific work giving rise to the claim. Neither party shall be liable for consequential, incidental, special, punitive or exemplary damages. Client shall indemnify and hold Provider harmless from third-party claims arising from Client-supplied samples, misrepresentations or misuse of results, except to the extent caused by Provider’s gross negligence or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of laws rules.

ENTIRE AGREEMENT

This Agreement, including any attachments and any mutually executed work orders referencing this Agreement, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, proposals and understandings, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below or to such other address as a party may specify by notice.

ADDITIONAL PROVISIONS

Force majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, provided the affected party promptly notifies the other and uses commercially reasonable efforts to resume performance.

Records and Audit: Provider shall retain testing records and raw data for a period of years following completion of the testing. Client may request inspection of relevant records during normal business hours upon reasonable notice and at Client’s expense.
