RECITALS

WHEREAS, Provider is engaged in the business of providing goods and/or services and, from time to time, requires additional payments or credits to maintain agreed service levels or inventory ("Top Up"); and

WHEREAS, Recipient is willing to provide such Top Up payments on the terms set forth in this Agreement to ensure uninterrupted performance of Provider's obligations or restoration of specified balances; and

WHEREAS, the parties desire a written agreement to define the scope, timing, and terms applicable to any Top Up transactions between them.

Late Payment: If any Top Up amount is not received when due, interest will accrue at or the maximum rate permitted by law, whichever is less. In addition, Recipient will be responsible for reasonable collection costs and attorneys' fees incurred by Provider in enforcing payment.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach by the other party if such breach remains uncured for thirty (30) days after written notice specifying the breach.

CONFIDENTIALITY

Each party agrees that all non-public, proprietary, or confidential information disclosed by the other party in connection with any Top Up (including pricing, business terms, financial information, and technical or operational details) ("Confidential Information") shall be held in strict confidence and used only for performance under this Agreement. Confidential Information shall not be disclosed to any third party except to a party's employees, agents, advisors, or affiliates who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein. Confidential Information does not include information that is (a) already known to the receiving party without restriction at the time of disclosure, (b) becomes publicly known through no act or omission of the receiving party, or (c) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information.

The obligations of confidentiality survive termination of this Agreement for a period of three (3) years, unless a longer period is required by law or specified elsewhere in this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict-of-law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written. No modification or amendment of this Agreement will be effective unless in writing and signed by duly authorized representatives of both parties.

Assignment: Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except to an affiliate or in connection with a merger, acquisition, or sale of substantially all of a party's assets.

Remedies: Except as expressly provided, remedies under this Agreement are cumulative and in addition to any other remedies available at law or in equity. The prevailing party in any action to enforce this Agreement shall be entitled to recover reasonable attorneys' fees and costs.
