MISCELLANEOUS TORT SETTLEMENT AGREEMENT

This Settlement Agreement (the "Agreement") is entered into between the parties identified below as of the Effective Date set forth in the signature block. The parties agree as follows:

PARTIES

RECITALS

WHEREAS, Claimant alleges that on or about at or near , Claimant suffered losses and damages arising out of a tortious event involving Defendant; and

WHEREAS, the parties desire to resolve all disputes, claims, demands and causes of action arising out of the incident without further litigation and to set forth their agreement in writing; and

WHEREAS, the parties acknowledge that this Agreement does not constitute an admission of liability by any party and is executed to avoid the expense, inconvenience and uncertainty of litigation.

SCOPE OF WORK

The parties agree the Scope of Work and the obligations each party will perform to effectuate this settlement are described below. This section identifies the specific acts, repairs, services or releases required under this Agreement.

PAYMENT TERMS

In consideration for the mutual releases and obligations set forth in this Agreement, Defendant agrees to pay Claimant the settlement consideration described below under the schedule set forth herein.

TERM AND TERMINATION

This Agreement becomes effective on the Effective Date and remains in effect until the parties have fully performed their obligations or until earlier termination as provided below.

CONFIDENTIALITY

Except as required by law, regulation, or a valid order of a court of competent jurisdiction, the parties shall keep the terms of this Agreement and the facts, communications and negotiations leading to it confidential. Neither party shall disclose the settlement amount or confidential terms to any third party except: (a) to their attorneys, accountants, insurers, and tax advisors who agree to maintain confidentiality; (b) to the extent necessary to obtain court approval; or (c) as required by law. A disclosure that does not identify the other party by name and does not permit third parties to identify the other party shall not be a breach.

MUTUAL RELEASE AND WARRANTY

Upon receipt of the settlement consideration in accordance with this Agreement, Claimant releases and forever discharges Defendant, its past and present parents, subsidiaries, affiliates, insurers, attorneys, agents, employees and representatives from any and all claims, demands, actions, causes of action, liabilities and damages, known or unknown, arising from or related to the incident described in the Recitals. This release expressly includes all tort claims, whether based on negligence, strict liability, intentional conduct, or otherwise.

Claimant represents and warrants that Claimant has not assigned any claim released herein to a third party, that Claimant has full authority to release the claims, and that Claimant will not initiate further proceedings against Defendant based on the released claims. If Claimant breaches these representations, Claimant shall indemnify Defendant for all losses and costs, including reasonable attorneys' fees, arising from such breach.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to choice-of-law rules that would apply the laws of another jurisdiction.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification of this Agreement must be in writing and signed by both parties.

REPRESENTATIONS CONCERNING CLAIMS

Claimant certifies that the damages, losses and injuries set forth in any accompanying claim documentation are true and accurate to the best of Claimant's knowledge. Claimant understands that knowingly making a false claim or false statement in connection with this Agreement may subject Claimant to criminal and civil penalties.
