Either party may terminate this transfer agreement for material breach by the other party if the non-breaching party provides written notice and the breach is not cured within days after receipt of such notice. Confidentiality

Transferor represents and warrants that it has the right, title and authority to effect the transfers described herein, that the transferred items are free and clear of liens and encumbrances except as disclosed in writing, and that no third-party consent required for the transfer has been withheld unless disclosed. Transferee represents that it has the capacity to accept the transfer and will perform the payment obligations described in this agreement. All representations and warranties are subject to the limitations and disclaimers set forth in this agreement.

Governing Law

This agreement shall be governed by and construed in accordance with the laws of , without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located within that jurisdiction for resolution of disputes arising under this agreement.
