MISCELLANEOUS TRANSIENT WAIVER

WHEREAS

WHEREAS, Host Name: owns or controls certain premises, facilities and services (the "Premises"); and

WHEREAS, Transient Name: seeks limited, temporary access to the Premises to perform transient activities as described below and agrees to assume certain risks and obligations; and

WHEREAS, the parties desire to set forth the scope, payment, waiver of liability, confidentiality and other terms governing Transient's limited presence and activity on the Premises.

Transient shall perform the activities described below on a transient, temporary basis. Host shall permit access to the Premises for the limited purposes set forth herein, subject to the conditions of this Waiver.

Either party may terminate this Waiver for convenience upon days' prior written notice. Host may terminate immediately for cause, including any breach of safety rules or unlawful conduct by Transient. Termination does not relieve either party of obligations accrued prior to termination.

CONFIDENTIALITY

Each party shall protect Confidential Information disclosed by the other with at least the same degree of care it uses to protect its own confidential information, but not less than a reasonable degree of care. Confidential Information excludes information that is (a) publicly known through no breach of this Waiver, (b) already known to the recipient prior to disclosure, (c) rightfully received from a third party without restriction, or (d) independently developed without use of Confidential Information. The obligations in this section survive termination for a period of three (3) years.

WAIVER OF LIABILITY, ASSUMPTION OF RISK AND INDEMNIFICATION

Transient acknowledges and agrees that participation in transient activities on the Premises involves inherent risks including personal injury, property damage and death. To the fullest extent permitted by law, Transient hereby releases and discharges Host, its officers, agents, employees and affiliates from any and all claims, demands, causes of action, suits, losses, liabilities, costs and expenses arising out of or related to Transient's presence or activities on the Premises, whether known or unknown and whether arising from the negligence of Host or otherwise.

Transient shall indemnify, defend and hold harmless Host against any third-party claims, losses or damages resulting from Transient's acts or omissions, including reasonable attorney fees and costs. This indemnity survives termination.

Insurance: Transient shall maintain, at its expense, policies of insurance adequate to cover the activities described herein and shall furnish proof of insurance to Host upon request.

Transient shall comply with all applicable laws, regulations and Host's reasonable safety and security rules while on the Premises. Any failure to comply shall be a material breach permitting immediate removal and termination.

GOVERNING LAW

This Waiver shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Waiver, together with any exhibits or written amendments executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, understandings and agreements. No modification shall be effective unless in writing and signed by both parties.

Severability: If any provision of this Waiver is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
