MISCELLANEOUS TSA ADDENDUM

This Miscellaneous TSA Addendum (the Addendum) is made effective as of and supplements the Transition Services Agreement identified below between the parties.

RECITALS

WHEREAS, Client and Service Provider are parties to the TSA identified above under which Service Provider provides transition and related services to Client; and

WHEREAS, the parties desire to amend certain terms of the TSA to address additional services, temporary obligations and payment adjustments as set forth in this Addendum.

NOW, THEREFORE, in consideration of the mutual covenants herein, the parties agree as follows:

SCOPE OF WORK

The Service Provider shall perform the additional and/or modified services described below in accordance with the terms of the TSA and this Addendum. The detailed description of work, deliverables and acceptance criteria shall be as set forth in Attachment A or as described below.

PAYMENT TERMS

As consideration for the additional services provided under this Addendum, Client agrees to pay Service Provider the fees set forth below in accordance with the TSA payment mechanisms unless expressly modified herein.

TERM AND TERMINATION

The term of this Addendum commences on and, unless earlier terminated in accordance with this Addendum, expires on .

Either party may terminate this Addendum for convenience upon providing written notice to the other party at least days prior to the effective termination date. Termination of this Addendum does not relieve Client of payment obligations for services performed prior to the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that in connection with the TSA and this Addendum it may receive Confidential Information of the other party. Confidential Information means all non-public information disclosed in any form that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each receiving party shall: (a) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information but no less than a reasonable standard of care; (b) use Confidential Information solely to perform its obligations under this Addendum and the TSA; and (c) not disclose Confidential Information to any third party except to those employees, contractors or advisors who have a need to know and who are subject to confidentiality obligations no less protective than those contained herein. The obligations set forth in this section shall survive termination of this Addendum for a period of three (3) years, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

MISCELLANEOUS

Entire Agreement: This Addendum, together with the TSA and any attachments specifically incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions and agreements relating to the subject matter of this Addendum. In the event of a conflict between the TSA and this Addendum, the terms of this Addendum shall control.

Amendment; Waiver: No amendment to this Addendum will be effective unless in writing and signed by authorized representatives of both parties. No failure or delay in exercising any right shall constitute a waiver.

Assignment: Neither party may assign or transfer its rights or obligations under this Addendum without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, sale of substantially all assets, or corporate reorganization.

Counterparts: This Addendum may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be deemed originals for all purposes.
