MISCELLANEOUS UNSIGNED AMENDMENT

RECITALS

WHEREAS, the parties entered into the Original Agreement titled dated (the "Original Agreement");

WHEREAS, the parties desire to amend certain terms of the Original Agreement as set forth in this Amendment to clarify, supplement, and modify the parties' rights and obligations without terminating the Original Agreement except as expressly provided herein;

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree to amend the Original Agreement as follows.

SCOPE OF AMENDMENT

The Original Agreement is amended by adding to and modifying its provisions as described in this section. Any term or provision not specifically amended herein remains in full force and effect.

PAYMENT TERMS

Unless otherwise provided in this Amendment, payment obligations under the Original Agreement shall be modified as follows. All capitalized terms used in this section and not defined herein shall have the meanings ascribed in the Original Agreement.

TERM AND TERMINATION

The term of this Amendment begins on the Effective Date set forth above and shall continue in accordance with the modified term provisions below.

Termination for cause, and any rights to cure, shall be as provided in the Original Agreement except where expressly modified herein.

CONFIDENTIALITY

All confidentiality, non-disclosure, and proprietary information obligations under the Original Agreement shall remain in full force and effect and shall apply to any Confidential Information disclosed under this Amendment. The parties agree that Confidential Information shall include the terms and pricing of this Amendment.

By checking this box, the signatory confirms that confidentiality obligations in the Original Agreement remain in effect and cover information exchanged under this Amendment.

GOVERNING LAW

This Amendment shall be governed by and construed in accordance with the laws of without regard to its conflict of laws principles. Any dispute arising under this Amendment shall be subject to the dispute resolution provisions of the Original Agreement unless otherwise specified herein.

ENTIRE AGREEMENT; MISCELLANEOUS

Except as expressly amended hereby, the Original Agreement remains unchanged and in full force and effect. This Amendment, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.

No amendment, modification or waiver of any provision of this Amendment will be effective unless in writing and signed by authorized representatives of both parties. If any provision of this Amendment is held to be invalid or unenforceable, the remainder of this Amendment will remain in full force and effect.

EXECUTION

This Amendment may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be deemed originals for all purposes unless expressly prohibited by applicable law.
