MISCELLANEOUS VA ADDENDUM TEMPLATE

WHEREAS

1. Whereas Client Name is party to the Original Agreement with Contractor Name and the parties desire to amend certain provisions of the Original Agreement as set forth in this Addendum.

PAYMENT TERMS

All payments made under this Addendum shall be subject to the invoicing and payment procedures of the Original Agreement unless expressly modified above. Invoices shall reference the Original Agreement and this Addendum. Unless otherwise stated, payment is due within the number of days specified in the Original Agreement following receipt of a properly issued invoice.

TERM AND TERMINATION

This Addendum shall commence on and shall terminate on unless earlier terminated in accordance with this Addendum or the Original Agreement.

Termination for cause shall be governed by the Original Agreement, provided that any breach arising solely from the obligations described in this Addendum shall permit the non-breaching party to pursue remedies consistent with the Original Agreement and applicable law.

CONFIDENTIALITY

The parties acknowledge that, in connection with the performance of obligations under this Addendum, each may receive or have access to confidential information of the other party. "Confidential Information" means non-public information disclosed in any form that is identified as confidential or that by its nature should reasonably be understood to be confidential. Each party shall: (a) hold the other party's Confidential Information in strict confidence; (b) not disclose such Confidential Information to any third party except as expressly permitted by the Original Agreement or this Addendum; and (c) use the Confidential Information solely for the purposes of performing obligations under this Addendum. These obligations shall survive termination of this Addendum for the period specified in the Original Agreement or for three (3) years if not otherwise specified.

GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

ENTIRE AGREEMENT

Except as expressly modified by this Addendum, all terms and conditions of the Original Agreement remain unchanged and in full force and effect. This Addendum, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, whether written or oral, relating to such subject matter.
