MISCELLANEOUS VA FORM — GENERAL BUSINESS AGREEMENT

RECITALS

WHEREAS, the VA Entity requires certain goods and/or services in furtherance of its mission and has determined that Provider Name is qualified and willing to perform such services under the terms and conditions set forth herein; and

WHEREAS, the Parties desire to set forth the scope, payment terms, confidentiality obligations and other contractual provisions governing the provision of services to ensure compliance with applicable policies and to protect the Parties' respective interests.

NOW, THEREFORE, in consideration of the mutual covenants and conditions contained in this Agreement, the Parties agree as follows.

SCOPE OF WORK

Provider shall perform the services described above in a professional and workmanlike manner consistent with industry standards and applicable law. Provider shall assign personnel with appropriate qualifications and shall comply with VA Entity site rules and any applicable security and background-check requirements where access to facilities or sensitive information is necessary.

PAYMENT TERMS

Payments shall be made within days of receipt of an undisputed invoice. Invoices must reference Contract Number: and describe the work performed and supporting documentation for each milestone.

Any undisputed amount not paid when due shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law. The Parties agree that interest and collection costs, including reasonable attorneys' fees, are recoverable for overdue payments.

Either Party may terminate this Agreement for convenience upon written notice to the other Party delivered at least days prior to the effective date of termination. Either Party may terminate this Agreement immediately for cause upon written notice if the other Party materially breaches any provision of this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Upon termination, Provider shall deliver to the VA Entity all work in progress and any materials paid for in whole or in part by the VA Entity. Termination shall not relieve the VA Entity of its obligation to pay for work performed and accepted prior to the effective date of termination.

CONFIDENTIALITY

Each Party shall protect and maintain in confidence all Confidential Information received from the other Party. "Confidential Information" means non-public information disclosed in any form that is designated as confidential or that reasonably should be understood to be confidential given its nature. Confidential Information excludes information that is (a) already in the public domain other than by breach of this Agreement, (b) rightfully known to the receiving Party prior to disclosure, or (c) rightfully obtained by the receiving Party from a third party without breach of any obligation of confidentiality.

The receiving Party shall not use Confidential Information except as necessary to perform its obligations under this Agreement and shall not disclose Confidential Information to any third party except to employees, contractors or agents who have a need to know and who are bound by confidentiality obligations at least as restrictive as those set forth herein. If disclosure is compelled by law or valid court order, the receiving Party shall provide prompt notice and cooperate with the disclosing Party to limit the disclosure.

GOVERNING LAW; COMPLIANCE

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict-of-law principles. Each Party shall comply with all applicable federal, state and local laws, regulations and policies in performance of this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any exhibits, attachments or written amendments signed by both Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior or contemporaneous written or oral agreements, representations and understandings. No amendment or waiver of any provision of this Agreement will be effective unless in writing and signed by duly authorized representatives of both Parties.
